浩澤淨水(02014.HK)訂立重組協議 繼續停牌
格隆匯8月19日丨浩澤淨水(02014.HK)發佈公吿，2022年8月18日，公司、清盤人及投資者(即伊泉國際控股有限公司)就集團重組訂立重組協議，當中包括股本重組、認購事項、業務重組及債務重組。
作為重組的一部分，公司擬在股東批准後實施股本重組，當中包括：(a)按每股股份的面值由0.01港元減少至0.0004港元的股本削減；(b)按每股面值0.01港元已獲授權但未發行的股份須分拆為25股每股面值0.0004港元的已削減股份的股份分拆；及(c)按每25股每股面值0.0004港元的已削減股份將合併為1股每股面值0.01港元的新股份的股份合併。股本重組完成後，公司法定普通股股本為4000萬港元，分為40億股每股面值0.01港元的新股份，其中8.529億股新股份已發行，併入賬列為繳足。
根據重組協議的條款及條件，公司應於完成日期發行及配發，而投資者應認購5.544億股認購股份，總認購價為6000萬港元，認購價相當於每股認購股份約0.108港元。按投資者指定的方式及股份數目向投資者及／或投資者指示的指定人士發行及配發認購股份後，認購股份佔經擴大已發行股本約65%。
根據重組協議，公司將授權經營公司經營淨水業務，方式為授予各經營公司相關權利(i)生產及製造或尋求其他製造商生產及製造與淨水有關的產品；(ii)通過本集團的分銷網絡或經營公司認為適當的其他銷售渠道分銷及銷售與淨水業務相關的產品；及(iii)使用及應用與第(i)及(ii)項相關的無形資產，直至完成日期(倘如復牌成功)，或將無形資產的所有權由公司向計劃公司轉讓及向投資者及/或其指定人員出售各經營公司的全部已發行股本均已根據所有適用法律完成(倘如復牌不成功)。
根據公司條例第十三部，公司須連同計劃債權人一併實施債權人計劃。於債權人計劃生效後，針對公司的所有索償將得到全面及最終妥協、解除及/或解決，但不損害任何計劃債權人對除外附屬公司(或其中任何附屬公司)強制執行任何擔保或擔保權益的權利。計劃債權人將獲得按比例分配計劃資產，悉數及最終清償並解除其所有針對公司的索償。各除外附屬公司的全部股本或權益股本將無償或以名義代價轉讓予計劃公司。自2021年3月18日上午九時正起，股份於聯交所已暫停買賣。
