中創環球(01678.HK)主席及執行董事胡明法向多位被吿發出傳票索賠
格隆匯2月25日丨中創環球(01678.HK)公吿，於2022年2月21日，公司主席及執行董事胡明法根據HCA222/2022發出傳票作為多位被吿的原吿，包括陳芳林(公司原董事長兼執行董事)、中泰金融投資有限公司、中泰國際證券有限公司、中泰國際金融產品有限公司、中泰金融國際有限公司(以下簡稱統稱"中泰集團")、高峯、王樂平、呂濤江、張耀峯(該等個別被吿人為中泰集團的董事，以下統稱"中泰董事")，向上述被吿2.6億港元及根據高等法院條例第48-49條，法院認為合適的權益。
索賠的理由是：
1.公司被香港聯合交易所有限公司暫停上市地位的原因有很多，包括但不限於陳芳林從公司拿走了大部分資產和資金，對公司造成了嚴重的不正當損害。所有股東、債權人和債券持有人，並導致公司面臨迫在眉睫的清算，除非能夠向公司注入進一步的資本和健全的管理。陳利用自己的欺騙手段，在2016年12月和2017年12月的會計報吿中誇大了當時的現金餘額，欺騙了所有相關方;
2.胡明法向公司注資，扮演“白衣騎士”的角色，將公司從清盤呈請中解救出來，為公司的平穩運作、恢復主板上市地位付出了巨大的努力;
3.胡明法還指出，他還發現了陳和其他前管理人員的許多不當行為和欺詐行為，包括從公司竊取大部分資金然後消散，甚至轉移到個人自己的帳户。作為執行董事，他曾與其他董事、公司祕書及其他輔助人員向警方、商業罪案調查科及其他罪案監管部門彙報;
4.胡明法發現陳芳林擅自拿走公司99%左右的資產。在此前及於2017年6月21日，陳芳林將其在公司的全部權益質押給中泰金融投資有限公司。陳芳林極有可能與中泰集團及中泰董事合謀欺騙公司全體股東及債權人，僅以約2.8億港元的股份價值向陳提供2.5億港元的貸款，而無需要求陳芳林提供公司經審計賬目及公司其他的擔保；
5.中泰集團及其相關高管，如王樂平等可能與陳合謀在2017年半年度報吿和全年度的報吿中欺騙全體股東及本公司，未就股份質押事項作出公吿，違反了證監會對許可證持有人的行為準則。因此，吳希望法院撤銷、撤銷相關交易，追回2.6億元，並指控中泰集團指定的四名高級管理人員也應對索賠負責；
6.令狀亦稱，允諾禁止股權原則將運作並禁止中泰集團及中泰董事或其授權代表/代理人投票反對胡於2022年2月22日或隨後的股東周年大會上提出的復牌計劃。
