中創環球(01678.HK)：免去陳芳林執行董事、主席和授權代表的職務
格隆匯6月20日丨中創環球(01678.HK)公佈，參考公司於2021年5月5日和2021年5月11日發佈的關於艾倫國際控股有限公司(“艾倫國際”)轉讓子公司以及暫停執行董事、獨立和非執行董事的職責以及設立調查委員會以調查交易的公吿。公司特此宣佈，根據2021年6月16日召開董事會，陳芳林免去其公司執行董事、主席和授權代表的職務。上述免職安排是考慮到調查委員會的各種調查結果和建議後作出的，特別是：
1.委員會聯繫了公司兩名前執行董事陳江和徐強，兩位均確當時的董事會未獲通知和授權認該交易。董事會感謝他們所提供的資料和協助；
2.根據公開記錄，即使在上述非法和未經授權的轉讓之後，陳芳林仍擔任相關子公司的董事。
3.陳芳林並沒有自願合作披露上述交易上的任何文檔和資訊。相反，陳芳林(連同其他被停職的董事)及其委任的律師向公司董事和公司祕書發送了幾封電子郵件，試圖施加不當影響，並對這些高管提出不公正的索賠和指控；根據上述1.和2.，陳芳林顯然違反了其作為公司董事的受託責任，並可能參與交易，委員會建議公司對陳先生採取法律行動申索在交易中的所有損失。
4.根據公眾提供的資料，委員會還注意到，陳芳林在中國被一名債權人索賠約人民幣2.5億元，在另一宗訴訟中被認為無力支付約人民幣1400萬元。根據公司章程第86條(4)款，如果董事“破產或接獲接管令或暫停還債或與債權人達成還款安排協議”應被免職；和
5.如上所述，公司應對陳芳林採取法律行動，公司與陳芳林之間明顯存在明顯利益衝突。
鑑於上述情況，董事會接受調查委員會的建議，解除陳芳林與公司的所有職務，並立即生效。董事會嚴重譴責陳芳林違反作為公司執行董事的職責，背離股東、債權人和員工的信任，並要求陳芳林採取補救措施，與公司合作收回公司資產。
董事會通過電子郵件通知陳芳林以上的決定和理由。除本協議披露外，截至公吿日期，公司不知道陳芳林與董事會存在任何分歧，或有關變更需要提請股東注意的任何其他事項。
調查委員會仍在尋找進一步的證據，並應在需要時採取更多行動。將按情況進展發佈進一步的公吿和更新。
此外，隨着陳芳林被免職，董事會成員選舉胡明法作為公司主席，程韻華作為公司首席執行官和公司授權代表。所有這些任命均已立即生效。
