文化传信(00343.HK)拟6300万港元收购仿脑科技(深圳)全部股份
格隆汇6月2日丨 文化传信(00343.HK)公告，于2021年5月28日，卖方(广西富川华发科技股份有限公司、深圳市群友智能教育科技有限公司、罗伟钊、刘钜波)与买方Vanity Holdings Limite(公司全资附属公司)订立该协议，据此，买方已同意购买而卖方已同意出售目标公司仿脑科技(深圳)有限公司全部股本，总代价为6300万港元，将透过促使本公司按发行价发行及配发代价股份方式偿付。
目标公司主要从事开发及销售人工智能硬件及软件。目标公司为一间专注于中文人工智能语言处理、中文自然语言理解和中文人工智能底层技术研发和商业化发展的科技公司。其核心科技是中文人工智能语言，该技术能将数字语音归纳串连，并形成能听懂人类语言的人工智能语言，从而让机器具备人类语言及语义的理解能力。该技术在人机交互、语义识别、智能电商、在线教育、智慧物联网等领域皆有广泛应用性，提供物联应用不可或缺的人类语言理解能力，促进物联网产业的规模化。
集团主要从事数码化市场推广；出版及知识产权授权；以及零售与批发。董事一直积极寻找及物色进一步投资机会，务求为股东带来最大回报。集团约于2019年六月开始投资于大数据分析业务，而相关业务已逐渐成为集团主要核心业务。
在2019冠状病毒病疫情整体商业活动放缓的影响下，集团大数据分析业务收入仍见显著增长，惟该大数据分析相关业务仍未能转亏为盈，主要原因在于没有自家的平台及应用产品。
集团希望通过目标公司以人工智能为核心技术仿脑物联智能操作系统为集团的大数据业务延伸发展至全面的端对端服务，解决现时没有自家平台及应用产品的问题。该智能操作系统针对所有智能应用产品，为其提供具语言及语义理解能力中文人工智能语音服务。
公司已经向联交所申请批准其股份由2021年6月3日上午九时正起复牌。
