天津港发展(03382.HK)附属拟2.7亿元收购中远海运港口欧亚全部股权
格隆汇4月28日丨天津港发展(03382.HK)公告，于2021年4月28日，天津港股份（集团的非全资附属公司）与中远海运港口订立中远海运港口欧亚协议，据此，天津港股份同意促使指定附属公司收购及中远海运港口同意转让中远海运港口欧亚所有已发行股份，代价为人民币2.7亿元。
收购事项完成后，中远海运港口欧亚将成为集团的全资附属公司，集团于欧亚国际的非直接权益由40%增加至70%，欧亚国际将成为集团的附属公司。
中远海运港口欧亚为一家于英属维尔京群岛注册成立的有限公司，已发行股费为1美元，其主要业务为投资控股。于本公告日期，中远海运港口欧亚为中远海运港口的全资附属公司。中远海运港口欧亚持有欧亚国际30%股权。
欧亚国际为一家于中国注册成立的有限责任公司，注册资本为人民币12.6亿元，主要从事集装箱装卸业务。于本公告日期，集团持有欧亚国际40%股权。
公司表示，收购事项连同出售事项有利于天津港发展成为北方国际航运枢纽，亦能加快建设世界一流绿色智慧枢纽港口，构建便捷、高效、低成本的集装箱物流服务体系，加强与中远海运港口的全方位合作。收购事项及出售事项完成后，集团与中远海运港口将密切配合，加大市场开发力度，提高港口作业效率。
欧亚国际位于天津港北疆港区，具有优越的水运地理条件。欧亚国际码头岸线全长1,100米，建有2个10万吨和1个7万吨集装箱泊位。于2020年，欧亚国际完成集装箱吞吐量306万标准箱（2019年：286万标准箱）。目前，欧亚国际已和多家船公司建立了稳定长远的合作关系，开辟了多条国际航线，通往美国、东南亚等多个国家和地区的港口，并开通了环渤海内支线和沿海内贸运输，内外贸航线班轮兼顾。集团亦计划进一步优化港区资源配置，扩大生产规模，提高生产作业效率，提升客户满意度，最大限度地提高企业盈利能力，为集团创造更大效益。
