中国海外发展(00688.HK)拟成立合资公司以开发珠海地块
格隆汇3月29日丨中国海外发展(00688.HK)发布公告,于2021年3月29日,中海发展珠海(为公司的间接全资附属公司)、中建澳门(广东横琴)及合营公司(为公司的间接全资附属公司)订立合作协议,据此,订约方同意透过合营公司成立合资公司,以投资及开发珠海项目;及规管彼等各自于合营公司的权利及责任。于完成后,合营公司将由本公司(透过中海发展珠海)及中国建筑国际(透过中建澳门(广东横琴))分别拥有80%及20%权益。
中海发展珠海于2020年11月成功投得地块,并与珠海市自然资源局就以收购地块的土地使用权签订国有建设用地使用权出让合同,购买价为人民币104.76亿元。其后,根据中海发展珠海、珠海市自然资源局及合营公司于2020年12月签订的出让变更合同,地块的土地使用权由中海发展珠海转让予合营公司。
为透过合营公司成立合资公司以投资及开发珠海项目,中海发展珠海及中建澳门(广东横琴)同意,根据合作协议,合营公司的注册资本将按以下方式由人民币2000万元增加至人民币2亿元。合营公司就开发珠海项目的营运资金需求预期约为人民币112亿元。
地块包括一幅总地盘面积约为192,250.40平方米的土地,位于中国广东省珠海市十字门中央商务区湾仔片区,计划作住宅用途、商业用途、教育用途、邻里中心用途及城镇村道路用地。于本公告日期,地块仍未开发。
董事认为合资安排将有利于集团利用中国建筑国际集团于楼宇建筑及地盘平整方面的丰富经验。透过合资安排,公司及中国建筑国际的董事均认为可就地块的建筑工程达致更有效的成本及质量控制,由此为集团及中国建筑国际集团带来协同效益,从而有利于地块的开发。
