太阳国际(08029.HK)：拟以约1亿港元购买加密货币开采设备 用作加密货币╱比特币采矿用途
格隆汇3月27日丨太阳国际(08029.HK)公布，2021年3月26日，公司间接全资附属公司Extra Blossom Holdings Limited作为买方，与卖方A即Moon Skyline SPC(为及代表SP1-8029行事)订立买卖协议，内容有关建议按代价5000.0345万港元买卖设备A，代价将通过促使公司根据一般授权配发及发行5524.9万股代价股份A结付，发行价A为每股0.905港元。
同日，Extra Blossom Holdings Limited与卖方B即Mindfulness Venture Fund I,L.P.订立买卖协议，内容有关建议按代价4999.9999万港元买卖设备B，代价将通过促使公司根据特别授权配发及发行155,762,239股代价股份B结付，发行价B为0.321港元。
值得注意的是，设备A指加密货币开采设备，包括(i)250台Bitmain Antminer T19；(ii)535台MicroBT Whatsminer M32；(iii)110台MicroBT Whatsminer M31S；(iv)80台MicroBT Whatsminer M21S；及(v)107台MicroBT Whatsminer M20
设备B指加密货币开采设备，包括(i)381台MicroBT Whatsminer M32；及(ii)619台MicroBT Whatsminer M31S。
视乎设备A及设备B的交付情况，集团拟利用设备A及设备B作加密货币╱比特币采矿用途，从而使集团开拓加密货币╱区块链业务及使集团的业务营运多元发展。考虑到(i)比特币价格长期持续上涨；(ii)越来越多的机构投资者开始投资比特币；(iii)越来越多人士了解加密货币，更愿意投资加密货币或加密货币交易所交易基金等相关产品；(iv)随着各国政府为刺激经济而采取的量化宽松措施导致传统货币贬值，鉴于比特币的供应量仅有21百万枚，有迹象表明比特币正被视为如黄金一样的资产；及(v)比特币的实际用途日益增加，加密货币╱区块链业务的机会将与日俱增，董事认为买卖协议的条款及其项下拟进行的交易均属公平合理，并符合公司及股东的整体利益。
