联想控股(03396.HK)：累计收购富瀚微15.94%股份，与实控人已签订一致行动协议
格隆汇 3 月 17日丨联想控股(03396.HK)公布，公司全资附属公司东方企慧于相关期间通过连串收购向杰智控股收购累计合共1275.01万股富瀚微股份，占富瀚微已发行股本比例15.94%，累计总现金代价约为人民币15.42亿元(未计相关交易费用)。连串收购事项中每股富瀚微股份的平均价格约为人民币120.98元(未计相关交易费用)。
据悉，富瀚微(300613.SZ)是我国专注于以视频为核心的专业安防、智能硬件、汽车电子领域芯片设计开发的领先企业。其通过多年自主研发创新，在芯片算法研究、IP核开发、SoC芯片实现、产品解决方案开发等积累了一系列自主核心技术，且始终保持高比例投入研发。富瀚微与业内标杆安防监控设备厂商保持着紧密战略合作，其中ISP芯片产品(模拟摄像机图像处理芯片)在全球安防市场处於绝对领先地位，同时，汽车电子领域也逐步成为新的业务增长点，其车规级产品已拓入品牌车企并有机会深入合作。于公告日，其主要股东分别为陈春梅、云南郎瀚企业管理有限公司、东方企慧、杰智控股以及杨小奇，分别持有13.47%、11.71%、10.71%、11.21%及7.65%已发行股本比例。
公告称，半导体、集成电路领域，是联想控股作为财务投资项目长期关注的重要投资方向，联想控股旗下的私募股权投资机构君联资本就是富瀚微最早也是唯一的机构投资人，并一路支持富瀚微的发展。此次联想控股入股富瀚微是看好半导体赛道和泛安防领域的长期发展潜力，有望提升公司财务投资板块的投资收益回报，且符合财务投资的资产配置要求。公司自入股富瀚微后，与富瀚微管理团队一起在半导体产业进行更深入的合作，推动富瀚微的长期发展。连串收购事项完成后，富瀚微的股份投资将持续以公允价值计量损益列入集团之综合财务报表。富瀚微董事会其中一名董事现由东方企慧委任。东方企慧与杨小奇(富瀚微的实际控际人)已签订一致行动协议，据此双方协订在行使其所持股权对应的富瀚微任何重要事项的决策、经营等相关股东权利时保持一致，包括但不限于在富瀚微股东大会投票表决时一致行动。
