首创环境(03989.HK)拟1.312亿元出售深圳广业环保46%股权
格隆汇 1 月 22日丨首创环境(03989.HK)公告，于2021年1月22日，卖方北京首创环境投资有限公司(公司间接全资附属公司)与买方广东广业投资集团有限公司就出售事项订立协议，据此，卖方已有条件地同意出售，而买方已有条件地同意购买深圳广业环保46%股权及债权，代价为人民币1.312亿元。
于完成后，公司不再持有深圳广业环保的任何股份，而深圳广业环保将不再为公司联营公司。
深圳广业环保为一间于中国注册成立有限公司，而于公告日期，乃由卖方及买方分别拥有46%及54%股权。深圳广业环保主要从事焚烧可燃生活垃圾及工业垃圾发电、售电，销售焚烧后废金属、炉渣的综合利用。
买方为广东省国有资产监督管理委员会下属广东省广业集团有限公司管理国有企业。买方及其附属公司主要于中国对工业、农业、交通、城建行业投资、参股；自有房产出租；货物、技术进口贸易、国内贸易(法律法规禁止的不得经营，国家专营专控商品持有效的批准文件经营)；天然气销售(不含储存、运输且不为终端用户供气)；危险化学品的批发(无储存设施，许可经营项目按有效危险化学品经营许可证附页所列经营)。于公告日期及于完成前，买方持有深圳广业环保的54%股权。
集团主要从事提供废物处理技术及服务，并专注废物处理设施的技术开发、设计、系统集成、项目投资、顾问、营运及维护，尤其是废物转化能源项目。出售事项代价人民币131,200,000元将可让集团变现于待售股份资投资以及债权。
此外，于公告日期，深圳广业环保的垃圾处理厂正处于停产状态以实施提升改造工程，须作出进一步投资以便完成提升改造工程。出售事项后，集团不须再就提升改造工程注入投资款，公司将可重新分配更多财务资源及管理精力至其他可为集团带来更丰厚回报潜在投资项目。
董事会认为深圳广业环保表现尚未符合集团预期。由于深圳广业环保已运营多年，加上近几年污染物排放标准不断提高，致使深圳广业环保的运营压力逐年增加，利润开始下降。由于运营现金流较差导致深圳广业环保从未进行现金分红，长期占用较大资金。同时，董事会认为出售事项将可令集团变现待售股份及分配出售事项所得款项至其他投资机会，并改善集团财务状况。
