萬成集團股份(01451.HK)擬按代價2325萬港元收購及認購塑膠製品公司40%權益
格隆匯 1 月 20日丨萬成集團股份(01451.HK)發佈公吿，2021年1月19日，公司全資附屬公司MS LLC作為買方與BRH2 Plastics, LLC(“目標公司”)、REF Plastics, LLC及Placencia Consulting LLC作為賣方及兩名人士(Ryan Fernandez作為REF Plastics, LLC大股東、Hector Placencia作為Placencia Consulting LLC唯一股東)訂立成員權益購買協議。據此，買方同意按代價向賣方收購待售成員權益；及向目標公司認購新成員權益。交割後，集團將於目標公司經擴大成員權益中擁有40%權益。收購事項及認購事項的總代價將為300萬美元(相等於2325萬港元)
目標公司為一間投資控股公司，截至本公吿日期，擁有兩間附屬公司(即BRH2 Holding及BRH2 Mexico)。目標公司於BRH2 Holding持有100%權益及於BRH2 Mexico持有99.90%權益。BRH2 Holding為一間投資控股公司，但並無業務，並於BRH2 Mexico持有0.1%權益。目標集團透過BRH2 Mexico主要從事製造及銷售使用注塑機為消費品、汽車及醫療保健行業定製設計的塑膠製品。
REF Plastics, LLC為一間於美國懷俄明州註冊成立的有限公司，由(i)Ryan Fernandez先生(作為其大股東 )；(ii)於美國及加拿大註冊成立的其他公司(由美國籍或加拿大籍人士擁有 )；及(iii)其他人士持有。其主要從事投資控股。交割前，REF Plastics, LLC於目標公司持有68.00%成員權益，而緊隨交割後，其將於目標公司持有約42.714%經擴大成員權益。 此外，Placencia Consulting LLC為一間於美國亞利桑那州註冊成立的有限公司，由Hector Placencia先生全資擁有。其主要從事投資控股。交割前，Placencia Consulting LLC於目標公司持有32.00%成員權益，而緊隨交割後，其將於目標公司持有約17.286%經擴大成員權益。
