高山企业(00616.HK)：悉数赎回未偿还Madian可换股票据及相关利息
格隆汇 1 月 11日丨高山企业(00616.HK)公布，于2015年6月12日，公司向Madian Star Limited("票据持有人")发行初始本金金额为8600万港元于2017年6月12日到期的2厘票面息率可换股票据("Madian可换股票据")，每股兑换股份初始兑换价为0.85港元。由于公司完成股本重组及供股，兑换价于2015年10月14日自动调整为1.81港元。
于2016年1月7日举行的公司股东特别大会上，兑换价获股东批准从1.81港元修订为0.33港元。
于2017年4月26日举行的公司股东特别大会上，修订获股东批准，包括将Madian可换股票据的到期日延至2022年6月12日，兑换价从0.33港元修订为0.16港元，并将年利率从2厘提高至3厘。
于2019年5月21日举行的本公司股东特别大会上，兑换价获股东批准从0.16港元修订为0.06港元。
票据持有人分别于2019年5月27日及2019年8月2日分别进行840万港元及3720万港元的部分兑换。在第二部分兑换后，Madian可换股票据的未偿还本金金额为4040万港元。
因公司完成股份合并及供股，兑换价分别自2020年1月8日起自动调整为1.20港元，并自2020年2月12日起进一步调整为0.9855港元。
于2021年1月11日，票据持有人已根据Madian可换股票据行使其权利，要求公司提早赎回Madian可换股票据，而公司于2021年1月11悉数赎回未偿还Madian可换股票据连同所有应计未付利息。紧接赎回前，Madian可换股票据的未偿还本金总额为4040万港元。赎回应付总金额以公司的资产结算。Madian可换股票据现已注销，公司已解除Madian可换股票据及其项下之任何所有义务。Madian可换股票据项下之兑换权已失效。
