龙源电力(00916.HK)正筹划发行A股股票换股吸收合并平庄能源
格隆汇 12 月 31日丨龙源电力(00916.HK)公告，于2020年12月31日，公司与国家能源投资集团有限责任公司("国家能源集团")、内蒙古平庄能源股份有限公司签署了《换股吸收合并及重大资产置换意向协议》。
据此，公司和平庄能源正在筹划由公司发行A股股票换股吸收合并平庄能源，与本次合并同时，平庄能源将以全部或部分资产负债与国家能源集团部分新能源资产进行重大资产置换。
协议签署后，各方将就本次交易的具体方案、交易价格、资产交割及员工安置等进行具体协商。各方应积极给予另一方以必要的配合，全力推进本次交易，并完成正式交易协议的签署。
协议仅为各方的初步意向协议，各方在本次交易中的具体权利义务以及各项安排以各方最终签署的正式交易协议为准。本次交易及正式签署的交易协议需提交各方各自董事会、股东(大)会或类别股东会审议，并需经有权监管机构批准后方可正式实施。各方协商一致，可以书面终止本协议。
本次交易拟将公司打造为A+H新能源上市平台，并进一步提升公司的市场竞争力。
平庄能源是一家根据中国法律设立并有效存续的股份有限公司，其股票在深圳证券交易所上市交易，股票代码为000780.SZ。平庄能源主要从事煤炭生产、洗选加工、销售(仅限分公司经营)；矿山设备、材料、配件、废旧物资销售；餐饮服务、住宿等业务。
于公告日期，平庄能源已发行的股份总数为1,014,306,324股，其中国家能源集团通过内蒙古平庄煤业(集团)有限责任公司持有平庄能源61.42%股份，为平庄能源的间接控股股东。
国家能源集团为根据中国法律成立的一家国有企业，拥有煤炭、火电、新能源、水电、运输、化工、科技环保、金融等八个产业板块，是全球最大的煤炭生产公司、火力发电公司、风力发电公司和煤制油煤化工公司。
于公告日期，国家能源集团直接及间接持有公司约58.44%的已发行股，为公司的控股股东。
