傑地集團(08313.HK)：重整物業管理及租賃管理業務
格隆匯 12 月 28日丨傑地集團(08313.HK)公佈，集團透過公司一間直接全資附屬公司即 ZACD POSH Pte. Ltd.("ZACD POSH")提供物業管理及租賃管理業務，該附屬公司由公司於2016年11月17日創立，自2017年1月1日起接管原本由公司另一間直接全資附屬公司即 ZACD International Pte. Ltd.("ZACD International")開展的物業管理及租賃管理業務，ZACD International Pte.Ltd.自同日起一直專注於提供項目諮詢及管理業務，以便更清晰地劃定集團公司的職能及優化集團的架構。
自2018年起，物業管理及租賃管理業務的盈利能力於過去幾年有所縮水，此乃主要由於公司管理的(主要包括住宅物業及工業物業)物業數目因物業管理合約已經 z 中止及／或於合約期限結束時未續簽而有所減少所致。除員工成本外，此業務分部所產生的主要開支包括管理物業的行政成本。由於此業務分部尚未透過管理物業(主要為住宅及工業物業)達到理想規模效益，而一直引致虧損，故董事會認為開展住宅及工業項目不再具有商業吸引力，並相信將此業務分部的管理內容由住宅及工業物業改為政府及國際項目以增加集團收入的戰略舉措符合公司及其股東之整體最佳利益。為了將更多資源及管理精力分配給政府及國際項目所需人力，董事會決定將物業管理和租賃管理業務與 ZACD International 重新整合。因此，ZACD POSH 為住宅及工業物業訂立的現有物業管理合約將於合約期限結束時終止或轉予獨立第三方代管人，而就馬來西亞一處宿舍而唯一提供的租賃管理服務將交由 ZACD International 接管，該項服務預期將於2021年2月28日屆滿。此後，ZACD POSH 將維持無業務狀態並將於適當時候註銷。
由於集團可應對大大小小的變化，ZACD International 將於物業管理及租賃管理業務重整後透過將目標放在回報更佳的政府及國際項目上，來繼續發展該業務，這對董事會而言符合公司及其股東之整體最佳利益。
於公吿日期，根據董事會目前可得的資料，董事會認為重整物業管理及租賃管理業務不會對集團的財務表現及營運產生重大不利影響。
