大豪科技(603025.SH)提示风险：重组存在可能被暂停、中止或取消的风险
格隆汇 12 月 15日丨大豪科技(603025.SH)公布，公司股票于2020年12月8日复牌以来连续6日涨停，股票价格近期波动较大，特别提醒广大投资者注意二级市场交易风险，理性决策审慎投资。
一、本次交易可能被暂停、中止或取消的风险
2020年12月7日，公司第四届董事会第三次临时会议审议通过了《关于公司<发行股份及支付现金购买资产并募集配套资金暨关联交易预案>及其摘要的议案》等关于本次交易相关的议案。具体内容详见公司于2020年12月8日在上海证券交易所网站等媒体披露的相关公告。
本次交易标的资产的审计、评估工作尚未完成，标的资产经审计的财务数据、备案的评估结果可能与预案披露情况存在较大差异。
本次交易尚需提交公司股东大会审议，并经有权监管机构批准后方可正式实施，能否通过审批尚存在一定的不确定性，以及最终获得相关批准或核准的时间均存在不确定性。
根据《关于加强与上市公司重大资产重组相关股票异常交易监管的通知》规定，如公司重大资产重组事项停牌前股票交易存在明显异常，可能存在涉嫌内幕交易被立案调查，导致本次重大资产重组被暂停、被终止的风险。
二、公司业绩下滑的风险
公司2019年营业收入和归属于母公司净利润较上年同期分别下滑9.48%和31.30 %；公司2020年前三季度营业收入和归属于母公司净利润较上年同期分别下滑24.36%和43.36%。
三、二级市场交易风险
公司股价近期涨幅较大，静态市盈率已56.03，动态市盈率已达87.02，已经高于证监会行业分类计算机、通信和其他电子信息设备制造业平均市盈率72.33。市场敬请广大投资者理性投资，注意二级市场交易风险。
四、重组后业务整合风险
(一)业务整合风险
本次交易前，上市公司主要业务为各类智能装备的拥有完全自主知识产权电脑控制系统的研发、生产和销售。通过本次交易，上市公司将获得资产管理公司及红星股份的控股权，业务范围将增加白酒、食品及饮料等业务。业务整合与协同的难度将有所提高。上市公司能否顺利实现上述业务的整合，存在一定的不确定性，提请投资者注意相关风险。
(二)业绩波动风险
标的公司所处的白酒、食品及饮料行业品牌竞争激烈，若未来市场竞争加大，标的公司如不能适应未来的竞争环境等因素，可能会导致标的公司的经营状况不及预期，大豪科技可能出现营业收入下降、甚至利润大幅下滑的情况，提请投资者注意相关风险。
