大同机械(00118.HK)：控股股东溢价29.9%提私有化 12月11日起复牌
格隆汇 12 月 11日丨大同机械(00118.HK)发布公告，2020年12月3日，公司的控股股东大同机械(控股)有限公司(作为要约人)要求董事会向协议安排股东提呈根据公司条例第673条以协议安排的方式私有化公司的建议事项，当中涉及注销协议安排股份，而作为代价，将以现金向协议安排股东支付每股协议安排股份的协议安排代价。根据协议安排，协议安排股份将被注销，而作为代价，每名协议安排股东将有权就已注销的每股协议安排股份收取协议安排代价现金0.5港元。
于该公告日期，公司有861,930,692股已发行股份。411,117,229股协议安排股份相当于已发行股份总数约47.70%。假设公司的股权架构于建议事项完成前并无其他变动，根据协议安排代价每股协议安排股份0.5港元及于该公告日期有411,117,229股已发行协议安排股份计算，根据建议事项应付予协议安排股东的现金金额将约为2.06亿港元。每股协议安排股份0.5港元的协议安排代价较最后交易日收市价(即股份于2020年12月3日短暂停止买卖以待发表该公告前的最后收市价)0.385港元溢价约29.9%。
要约人拟透过内部财务资源及通海财务根据贷款协议向要约人提供贷款融通拨付建议事项所需的现金，有关贷款融通以要约人根据建议事项已拥有及将拥有的股份作出的押记作抵押。通海融资信纳要约人有充足财务资源履行与全面实施建议事项的有关责任。
于该公告日期：(a)公司有861,930,692股已发行股份；(b)要约人直接持有235,802,600股股份，相当于已发行股份总数约27.36%；及(c)要约人一致行动人士拥有、控制或可指示合共225,196,063股股份，相当于已发行股份总数约26.13%。许邓沂、黄耀明及简卫华(各自为要约人一致行动人士)合共持有的10,185,200股股份(相当于已发行股份总数约1.18%)将构成协议安排股份的一部份。
于该公告日期，协议安排股份包括协议安排股东所持有或实益拥有的合共411,117,229股股份，相当于已发行股份总数约47.70%。于该公告日期，除861,930,692股已发行股份外，公司并无拥有有关证券。协议安排生效后，要约人将直接持有已发行股份总数的75.05%，而要约人一致行动人士将直接持有已发行股份总数的24.95%。
董事会已成立独立董事委员会，成员包括非执行董事瞿金平先生及独立非执行董事杨淑芬、郑达贤、何伟森及黄志炜，以就建议事项是否公平合理及如何投票向协议安排股东提供推荐建议。由于非执行董事简卫华为要约人的董事，故简卫华并无被选入独立董事委员会。
当协议安排生效，所有协议安排股份将被注销(并向要约人发行同等数目的缴足新股份)，而协议安排股份的股票此后将不再具有所有权文件或凭证的效力。公司将根据上市规则第6.15(2)条申请撤销股份于联交所的上市地位，自生效日期起生效。
应公司要求，股份已由2020年12月3日(星期四)下午一时正起在联交所短暂停止买卖，以待发表该公告。公司将向联交所申请自2020年12月11日(星期五)上午九时正起恢复股份买卖。
