众信旅游(002707.SZ)与阿里旅行达成战略合作框架协议
格隆汇9月29日丨众信旅游(002707.SZ)公布，鉴于公司控股股东、实际控制人冯滨于2020年9月29日与阿里巴巴(中国)网络技术有限公司(“阿里网络”)签署《股份转让协议》，冯滨向阿里网络转让其持有的众信旅游4547.0295万股无限售条件流通股，约占股份转让协议签署日众信旅游总股本的5%。此次权益变动后，阿里网络将直接持有上市公司4547.0295万股无限售条件流通股，约占上市公司总股本的5%。
为进一步推进公司与阿里巴巴集团(阿里巴巴集团控股有限公司及其下属子公司，和根据上市地法律纳入其合并报表的实体)之间的战略合作，2020年9月29日，公司与浙江阿里旅行投资有限公司(“阿里旅行”)签署了《战略合作框架协议》，双方本着平等互利、优势互补、协同发展的原则，经友好协商，达成战略合作框架协议。
为提高双方在旅游产品领域知名度及竞争力，扩大双方各自产品、服务的市场整体占有率，经双方友好协商，双方同意，通过阿里旅行在科技、互联网、大数据技术、品牌、系统管理方面的优势，结合公司在产品、运营、采购、分销等方面的经验，相互提供合作资源支持以开展全面合作。
(1)产品供给
双方同意在产品方面展开合作，互相给予支持。公司同意在产品方面给予阿里旅行包括但不限于平台分销、采购价格、结算、优先供应、独家代理等各方面政策的支持。
(2)渠道和品牌
双方同意探索和推进“旅游线下新零售”商业模式，在渠道端探讨品牌联合及规划。将在双方均同意的地区尝试开设试点门店，并依据门店的实施、成型及综合收益优先的原则确定下一步的发展规划以及品牌联合。
(3)大数据技术
甲乙双方，坚守国家监管机构相关法律规定，利用双方资源优势，结合大数据技术，为促进旅游行业稳步发展、不断提高旅游消费者体验，持续提供更多更具价值的创新产品。
(4)支付
为提高公司线上支付水平及资金使用效率，阿里旅行同意为公司在支付系统方面提供方案支持。
(5)系统
阿里旅行同意为公司在内控管理、销售及采购支付、资金结算等方面，提供系统解决方案的支持。
双方本着长期稳定合作、共同发展、资源互补、合作共赢等原则，经友好协商，达成战略合作框架协议，旨在利用各自的资源和条件在境内外，基于双方多渠道业务模式的充分合作，通过资源共享、优势互补与业务创新，互惠互利、共同发展，推动双方业务实现互融发展。
