宝信软件(600845.SH)：拟与中国宝武、宝钢股份等设立欧冶工业品 成为服务钢铁生态圈的第三方工业品智慧供应链集成服务平台
格隆汇 9 月 21日丨宝信软件(600845.SH)公布，公司拟与中国宝武钢铁集团有限公司(“中国宝武”)、宝山钢铁股份有限公司(“宝钢股份”)、马鞍山钢铁股份有限公司(“马钢股份”)、广东韶钢松山股份有限公司(“韶钢松山”)、新疆八一钢铁股份有限公司(“八一钢铁”)、宝武集团鄂城钢铁有限公司(“鄂城钢铁”)、欧冶云商股份有限公司(“欧冶云商”)共同合资设立欧冶工业品股份有限公司。上述投资方均为宝信软件关联方，根据《上海证券交易所股票上市规则》，上述交易构成关联交易。
合资公司注册资本40亿元，其中中国宝武认缴出资10亿元，持股25%；宝钢股份认缴出资13.6亿元，持股34%；马钢股份认缴出资4.4亿元，持股11%；韶钢松山认缴出资2.4亿元，持股6%；八一钢铁认缴出资0.8亿元，持股2%；鄂城钢铁认缴出资0.8亿元，持股2%；欧冶云商认缴出资5亿元，持股12.5%;宝信软件认缴出资3亿元，持股7.5%。全部股东在公司设立之日起一年内实缴完成。
合资公司注册地为上海市宝山区。
欧冶工业品将建设全新的工业品电商平台，通过内部专业化整合、外部生态化发展，构建工业品智慧服务生态圈。以“亿吨宝武”的资材备件采购资源与能力为基础，以专业化、平台化为原则成为内部资源整合、管理融合的采购供应链服务平台，打造极致效率。依托对钢铁行业工程设计、工艺技术、设备管理运维、装备制造等领域的深度理解，形成优势品类，拓展服务场景，构建线下服务能力，以数字化智能化技术实现端到端交易、物流、金融等增值服务，成为服务钢铁生态圈的第三方工业品智慧供应链集成服务平台。
此次交易为交易各方积极贯彻国家政策，基于“亿吨宝武”的庞大内部采购规模，打造一个资源富集、功能多元、服务精细的工业电子商务平台，将面向全国300多家钢厂共享服务，能够解决供应商和采购商在成本效率、供应链服务、风险管理等方面存在的诸多痛点，同时解决当前宝信软件下游客户采购的痛点问题。
