啟迪國際(00872.HK)擬1.05億元出售啟迪雲控(北京)科技70%股權
格隆匯 9 月 15日丨啟迪國際(00872.HK)發佈公告，2020年9月14日，公司間接全資附屬啟迪雲智科技(北京)有限公司作為賣方、買方、目標公司及少數股東訂立股權轉讓協議，據此，買方已有條件地同意收購目標公司的合共70%股本權益，代價為人民幣1.05億元。
買方包括青島頤和晶磐股權投資合夥企業(有限合夥)(“買方A”)、揚州啟迪智網投資中心(有限合夥)(“買方B”，由啟迪控股間接擁有約38.8%股本權益)、蘇州水木時尚投資中心(有限合夥)(“買方C”，由啟迪控股間接擁有約65.6%股本權益)及買方D(黃冰倩)。該等買方各自將分別向賣方收購目標公司的30%、9%、21%及10%股本權益。
啟迪雲控(北京)科技有限公司(“目標公司”)為於中國註冊成立的有限公司，其註冊資本由賣方及天津清雲智控科技有限公司(“少數股東”)分別擁有70%及30%股本權益，並於該公告日期緊接出售事項完成前，為公司的間接非全資附屬公司。目標集團(“目標公司及其附屬公司”)的主要業務活動為開發智能及互聯車汽車雲控制平台技術。
公司已成立由全體獨立非執行董事組成的獨立董事委員會，以就股權轉讓協議及其項下擬進行的交易向獨立股東提供意見。力高企業融資已獲委任為獨立財務顧問，以就此向獨立董事委員會及獨立股東提供意見。
公告表示，儘管中國車聯網行業正在逐步發展，惟公司致力為智能互聯汽車及其應用而積極開發汽車雲控平台，旨在滲透市場。汽車雲控平台應用非常依賴大數據以及5G網絡的開發及能力。董事認為，大多數5G車聯網應用(尤其是汽車雲控平台)目前處於探索階段，僅限於演示其應用，且距離對應大規模商業應用的真正成熟市場甚遠。在此等情況下，經考慮目標集團於2020年6月30日的資產淨值約5560萬港元，按此基準，代價人民幣1.05億元較公司於目標集團資產淨值的70%股本權益溢價約196.8%。監於集團的財務狀況，董事認為，出售事項為公司提供機會，以溢價變現其於虧損業務的投資，同時免除持續發展目標集團所需的大量資金需要。
