汇盈控股(00821.HK)拟折让约4.31%配售最多2.46亿股 净筹4820万港元
格隆汇 7 月 24日丨汇盈控股(00821.HK)公告，于2020年7月24日，公司与配售代理订立股份配售协议，据此，公司有意提呈发售不附带任何产权负担的配售股份作认购，并委任配售代理根据股份配售协议所载条款及条件，按竭尽所能基准单独及独家配售及促成配售股份认购。配售代理须促成不少于六名股份配售承配人按每股配售股份0.2港元价格认购最多2.46亿股配售股份。配售股份相当于扩大已发行股份总数约16.66%。
配售价为每股配售股份0.2港元，较7月24日收市价每股0.209港元折让约4.31%；假设配售代理成功配售全部配售股份，股份配售所得款项净额约4820万港元
用于(i)一般营运资金约3320万港元；及(ii)以下章节所述有关合营协议及许可协议可能业务发展约1500万港元。由于配售股份将根据一般授权配发及发行，因此股份配售毋须取得股东批准。公司将向联交所上市委员会申请批准配售股份上市及买卖。
于2020年7月24日，公司与配售代理订立可换股债券配售协议，据此，公司有意提呈发售作认购，而配售代理已同意根据可换股债券配售协议所载条款及条件，按竭尽所能基准促成可换股债券认购。配售代理须促成不少于六名可换股债券配售承配人认购金额最多为5200万港元可换股债券。
初步换股价0.2港元较7月24日收市价每股0.209港元折让约4.31%。假设配售代理成功配售全部可换股债券，公司拟将可换股债券配售的所得款项净额约5020万港元。
于2020年7月17日，VCGlobal与VastSea及SuccessHealth订立合营协议，据此，VCGlobal及VastSea已同意成立一间合营公司(即SuccessHealth)以经营及进行该业务。
SuccessHealth与VastSea订立许可协议，据此，SuccessHealth期望以AVL-19方式营销及销售核心成分，并开发核心成分的其他潜在用途及应用，而VastSea期望SuccessHealth拥有以AVL-19方式于全球生产、转授许可以及营销及销售核心成分的唯一合法权利，并通过SuccessHealth及其关联公司开发核心成分的其他潜在用途及应用。
