营口港(600317.SH)：大连港拟167.65亿元吸收合并营口港 明日复牌
格隆汇7月7日丨营口港(600317.SH)公布，大连港拟以发行A股方式换股吸收合并营口港，即大连港向营口港的所有换股股东发行A股股票，交换该等股东所持有的营口港股票；同时，大连港拟采用询价方式向不超过35名特定投资者非公开发行A股股份募集配套资金不超过21亿元。本次换股吸收合并中，大连港拟购买资产的交易价格为换股吸收合并营口港的成交金额(交易价格=营口港换股价格×营口港总股本)，为167.65亿元。
大连港本次换股吸收合并发行的股份种类为境内上市人民币普通股(A股)，每股面值为1.00元。大连港换股价格为1.71元/股；营口港换股价格2.59元/股。营口港与大连港的换股比例为1:1.5146，即每1股营口港股票可以换得1.5146股大连港A股股票。
截至本预案签署日，合并双方2019年利润分配方案尚未实施，该利润分配方案在换股实施日之前实施完毕后，上述换股价格及换股比例将进行相应调整，调整后大连港换股价格为1.69元/股，营口港的换股价格为2.54元/股；调整后的换股比例为1:1.5030，即每1股营口港股票可以换得1.5030股大连港A股股票。
截至本预案签署日，大连港的A股股票为77.3582亿股，H股股票为51.59亿股，参与本次换股的营口港股票为64.73亿股。参照本次换股比例计算，大连港为本次换股吸收合并发行的A股股份数量合计为98.04亿股。
本次募集配套资金发行股份的数量根据募集配套资金总额和最终发行价格确定，且不超过本次交易前大连港总股本的30%，即不超过38.68亿股。
本次换股吸收合并完成后，营口港将终止上市并注销法人资格，大连港将承继及承接营口港的全部资产、负债、业务、人员、合同及其他一切权利与义务。大连港因本次换股吸收合并所发行的A股股票将申请在上交所主板上市流通。
本次合并后，存续公司将成为东北地区最核心的出海口。公司股票将于2020年7月8日(星期三)开市起复牌。
