丽珠医药(01513.HK)与LTS签署授权合作协议
格隆汇7月3日丨丽珠医药(01513.HK)宣布，公司于2020年7月3日与LTS Lohmann Therapie-Systeme AG（以下简称“LTS”）签署了《授权合作协议》，LTS将授予公司阿塞那平透皮贴剂若干知识产权下的独家、包含特许权使用费、可转授权的许可权。根据本协议约定，公司将与LTS合作开发授权产品，授权产品上市后公司将拥有其在中国大陆、香港特别行政区及澳门特别行政区，不含台湾地区的独家商业化权利。另，公司需支付授权产品在研发、申报及上市后各阶段相应的费用、里程碑金及销售提成。
LTS主要负责授权产品的研发和未来可能需要的工艺改良；授权产品及样品的生产；以公司名义委托合同研究组织进行新药注册（IND）申报所需的临床前研究和分析工作（相关费用由公司承担）；提供公司所要求的相关文件材料以及技术支持；LTS将成为授权产品的独家供应商，授权产品包括但不限于供临床试验及申报的授权产品临床样品，及供商业化的授权产品。
公司主要负责授权产品在授权区域的临床研究、注册申报、销售及推广等商业化活动。根据本协议约定，双方将成立项目委员会及联合指导委员会，共同协调及管理项目进度；及（ii）磋商一份由LTS生产授权产品并由本公司在授权区域商业化的生产及供应协议。公司应根据研发计划和临床试验中使用的授权产品，向LTS支付其在开发期间产生的所有人工成本。根据本协议，上述费用上限为320万欧元（不包含由公司审阅及批准的额外研发费）。另，包括临床前及临床阶段研究、申报阶段、以及上市后营销的成本与费用、以及从项目开始直到授权产品上市期间生产使用的所有原料药成本均由公司承担。
根据本协议，在获授予许可权后，公司应先向LTS支付授权费100万欧元（首付款）。公司在授权产品完成第一个IND申报批准、I期临床试验、III期临床首次给药、提交第一次NDA申请及第一次监管批准授权产品上市后，于各阶段应向LTS支付相应的里程碑金，共计300万欧元。
从授权产品首次商业销售到授权产品的专利权期满期间，公司应向LTS支付授权产品净销售额4%的浮动型销售提成。如果第三方在授权区域的市场上推出了授权产品的仿制药，则应减少浮动型销售提成。
本次合作旨在发挥LTS在透皮技术领域研发优势及公司在授权区域内商业化运营优势，以实现互利共赢、共同发展的最终目标。本次合作将进一步拓展公司在精神神经领域的产品管线布局，亦将进一步探索高端复杂制剂技术，不断开发出国际及国内领先的创新药品，符合公司中长期创新药发展的战略布局。
