光启技术(002625.SZ)：拟间接收购海容通信7.52%股权 加速在穿戴式智能装备领域的国际化推广
格隆汇5月25日丨光启技术(002625.SZ)公布，公司拟通过全资香港子公司Hong Kong Wise Laos Limited、Hong Kong WiseCambodia Limited、Hong Kong Wise Myanmar Limited(以下合称“香港SPV”)与Fiber Network Limited(“Fiber公司”)、Innovation Planet Limited(“Innovation公司”)、Galaxy Giant Limited(“Galaxy公司”，“Fiber公司”、“Innovation公司”与“Galaxy公司”合称“交易各出让方”)签署《股权买卖协议》(“《交易协议》”)，约定香港SPV以约2.63亿美元(折合约18.74亿人民币)的价格购买交易各出让方所持有的RuiceLimited(“Ruice公司”)的100%股权、Ever Explorer Limited(“Ever公司”)的100%股权、以及Victorious Sail Limited(“Victorious公司”，“Ruice公司”、“Ever公司”与“Victorious公司”合称“直接标的公司”)的100%股权，并通过交易直接标的公司间接持有Hyalroute Communication Group Limited(“海容通信”或“最终标的公司”)7.52%的股权。
HyalRoute Communication Group Limited主营业务：独立第三方(中立)光网平台;投资、建设、拥有、运营、维护以“光纤网络”为核心的通信网络基础设施，具体体现为以共享(租、售)方式向电信运营商、互联网接入提供商、电视运营商及各类型丏网等客户提供“光纤网络(含干线网、城域网和接入网)及相关承载载体如管道、机房”等全网通信网络基础设施及服务，客户以此为基础实现快速组网和业务落地。
上市公司主要从事新一代超材料尖端装备产品的研发、生产及销售；光感知节点、穿戴式智能装备产品的研发、生产及销售。公司凭借在电磁调制、综合射频传感、功能结构一体化等性能方面的特殊优势，可满足各类尖端装备、穿戴式智能装备的要求，该类产品对现有产品具有革新及替代作用。与此同时，上市公司利用自身技术优势和研发实力，在尖端装备与穿戴式智能装备领域不断进行产业整合，优化产品结构，丰富产品类型，实现转型升级。在巩固与加强国内市场的基础上，积极响应国家“一带一路”战略，拟通过新建与并购重组等方式，布局与开拓全球市场。
海容通信是一家在东盟地区以投资、建设、维护及运营通信基础设施为主营业务的企业，是柬埔寨和缅甸最大的光纤通信网络基础设施提供商，也是东南亚光纤通信市场的行业龙头。当前，海容通信已启动在老挝、菲律宾、马来西亚、印尼等东盟其它国家和地区的光纤网络建设。
此次交易基于上市公司在穿戴式智能装备领域的市场布局以及国际化战略，拟通过上市公司与海容通信进行股权合作，成为其重要股东，借助海容通信在东盟地区光纤网络覆盖优势，加速上市公司在穿戴式智能装备领域的国际化推广，优化公司产品和收入结构，提升公司业绩。
