格隆汇5月11日丨高银金融(00530.HK)发布公告,2020年5月10日,公司间接全资附属Golden Sphere Developments Limited(作为卖方)与Top Family Group Limited(作为买方)订立买卖协议,据此,卖方有条件同意按初步代价约70.4亿港元(可予调整)出售该公司间接全资附属Gold Flair Holdings Limited全部已发行股本及股东贷款。

于2020年3月31日,股东贷款约为56.45亿港元。 于该公告日期,出售公司为投资控股公司及于英属处女群岛注册成立的有限公司。出售公司目前持有迅富(为物业投资控股公司及于香港注册成立的有限公司,其主要资产为该物业)的全部股权。除该物业外,出售集团并无任何其他重大资产。该物业为位于九龙启德第4B区4号地盘新九龙内地段第6591号的一幅地块,总地盘面积为约9,708平方米,最低及最高可发展建筑面积分别为32,037平方米及53,394平方米。其将发展为私人住宅用途。于该公告日期,地基工程尚未展开。

公告表示,监于全球经济疲软为营商环境带来的挑战不断增加,以及香港经济活动减少,呈现经济收缩迹象,故董事认为,香港物业发展市场长远仍存在不确定因素,因此,考虑到该物业处于初步发展阶段及项目所需资金庞大,且在物业市场前景不明朗及香港整体经济低迷的背景下,董事采取审慎方针为集团的现有业务保留更多现金。出售事项所得款项将主要用于减少集团的借贷,从而提高其整体财务灵活性。
