歐比特(300053.SZ)：部分銀行賬户及固定資產被凍結
格隆匯5月8日丨歐比特(300053.SZ)公佈，公司近日收到了廣州市天河區人民法院出具的《民事裁定書》[(2019)粵0106民初41729號]，對公司及子公司資產凍結情況進行了統計梳理，現根據《深圳證券交易所創業板股票上市規則》的規定，將相關情況説明如下：
1、銀行賬户被凍結情況及執行原因
2、固定資產被查封情況及執行原因
注：1、上述銀行賬户中實際凍結金額系截至2020年4月28日餘額；
2、廣東鉑亞信息信息技術有限公司(“鉑亞信息”)為歐比特全資子公司；
3、鉑亞信息原法定代表人、執行董事李小明以其本人及鉑亞信息的名義與廣州冠盛企業集團有限公司(“廣州冠盛”)簽訂《借款合同》，私刻鉑亞信息公章越權為其個人借款。由於李小明借款尚未還清，廣州冠盛以歐比特與鉑亞信息存在未清債務為由，就上述借款向珠海市香洲區人民法院提起代位權訟訴，同時向珠海市香洲區人民法院申請財產保全，查封歐比特房產。廣州冠盛的代位權訴訟已被珠海市香洲區人民法院裁定駁回起訴，廣州冠盛提出了上訴。同時，廣州冠盛就上述同一借款債權，以歐比特為鉑亞信息唯一股東為由，在廣州市天河區人民法院審理的(2019)粵0106民初41729號案件中，再次將歐比特追加為被告，並再次向廣州市天河區人民法院申請財產保全，超額凍結歐比特的銀行賬户及房產(該房產顯示輪候查封)。上述兩個案件均系廣州冠盛基於同一《借款合同》發起的兩個訴訟，目前歐比特已就超額、重複查封向廣州市天河區人民法院提出異議，廣州市天河區人民法院已經立案受理；
4、鉑亞信息原法定代表人、執行董事李小明與蘇文權私人借款，私刻鉑亞信息公章越權為其個人違規擔保，由於李小明借款尚未還清，相關債權人向管轄法院提起訴訟訴，同時向法院申請財產保全，凍結鉑亞信息銀行賬户及房產(該房產顯示輪候查封)；
5、鉑亞信息原法定代表人、執行董事李小明以俞振軍、唐勇輝、查振鬆名義與李勇明、廣州璟誠擔保有限公司、萬惠投資管理有限公司私人借款，私刻鉑亞信息公章越權為上述借款(實際借款人為李小明)違規擔保，由於李小明上述借款尚未還清，相關債權人向北海國際仲裁院提起仲裁，同時向廣州市番禺區人民法院申請財產保全並查封鉑亞信息房產。目前該仲裁案件因李勇明被公安部門採取強制措施而中止仲裁程序。
上述被凍結的銀行賬户包含公司及鉑亞信息日常經營常用賬户、募集資金專户等，對公司及鉑亞信息的生產經營及管理造成一定影響，目前公司能夠通過其他一般賬户進行正常經營結算。
上述被查封的固定資產對公司及鉑亞信息的正常生產經營影響較小，公司及鉑亞信息各項業務均正常有序開展。
上述凍結、查封事項均由李小明個人違規借款擔保系列案件引起，公司已採取民事訴訟與公安刑事報案的方式應對處理，目前已取得部分案件一審勝訴、撤訴、駁回起訴、仲裁中止等有利進展。同時，公司已對超額財產保全(如廣州冠盛申請查封歐比特資產)提出保全異議，公司將積極維護公司及全體股東的利益，盡最大努力降低該系列案件帶來的風險。
