铁汉生态(300197.SZ)：公司实控人将由刘水变更为国务院国资委 明起复牌
格隆汇4月19日丨铁汉生态(300197.SZ)公布，公司控股股东、实际控制人刘水及其一致行动人乌鲁木齐木胜股权投资合伙企业(有限合伙)(“木胜投资”)拟向中国节能环保集团有限公司(“中国节能”)转让公司约2.3710亿股流通股股份(占公司占截至2019年12月31日总股本的10.11%)。同时，上市公司正在筹划非公开发行股票事宜，中国节能拟现金认购上市公司非公开发行新股。
此次权益变动前，刘水持有上市公司约7.2072亿股普通股，占公司2019年12月31日总股本的30.72%，为上市公司的实际控制人。刘水的一致行动人木胜投资持有上市公司5692.4298万股普通股，占上市公司截至2019年12月31日总股本的2.43%。中国节能全资子公司中节能资本控股有限公司通过二级市场增持的方式取得上市公司7408.8893万股普通股，占2019年12月31日公司总股本的3.16%。
股份过户之前及非公开发行股份完成之前公司实际控制人未发生变动。国务院国资委批准并实施完成协议转让约2.3710亿股普通股，且中国证监会核准并实施完成本次非公开发行股份后，中国节能将成为公司的控股股东，国务院国资委成为公司的实际控制人。中国节能的战略入股有利于进一步增强公司的影响力，实现战略协同。
上市公司正在筹划非公开发行股票事宜。公司本次非公开发行股票的数量拟不超过6.02亿股(含6.02亿股)，中国节能拟认购本次非公开发行股票数量4.69亿股，拟认购资金总额不超过14.07亿元；深圳投控共赢股权投资基金合伙企业(有限合伙)拟认购本次非公开发行股票数量1.33亿股(含本数)，拟认购资金总额不超过3.99亿元。
若本次非公开发行完成且存量股份过户完成，中国节能及其一致行动人合计将持有上市公司约7.8019亿股，占本次发行后普通股总股本的26.46%，上市公司控股股东将由刘水变更为中国节能，实际控制人将由刘水变更为国务院国资委。公司将于2020年4月19日召开董事会，审议《关于公司本次非公开发行A股股票预案的议案》等议案并于同日披露于中国证监会指定的创业板信息披露网站。
经向深圳证券交易所申请，公司股票及可转换公司债券(债券简称：铁汉转债，债券代码：123004)、优先股(代码：140008；优先股简称：铁汉优01)自2020年4月20日开市起复牌。
