高山企业(00616.HK)拟收购香港吉席街93和95号物业
格隆汇4月6日丨高山企业(00616.HK)发布公告,2020年4月6日,公司全资附属公司Success Edge Limited作为买方与吴桂东订立买卖协议,据此,买方有条件同意根据买卖协议的条款及细则按代价收购及受让Nice Able的销售股份及股东贷款,代价为约8911.6万港元。
根据顺满股份销售协议及物业购买协议,Nice Able须按各约定分别收购顺满全部已发行股份及其贷款及吉席街物业。完成收购顺满及吉席街物业后,集团将分别拥有93号楼宇100%及95号楼宇约83.33%。
93号楼宇及95号楼宇于1962年落成。93号楼宇为一幢位于香港吉席街93号(亦称为海旁地段245号A段的余段)的六层高大厦,当中包括五个住宅单位和一个零售单位。95 号楼宇为一幢位于香港吉席街95号(亦称为海旁地段245号A段的7分段)的六层高大厦,当中包括五个住宅单位和一个零售单位。93号楼宇及95号楼宇的销售面积分别约为3,333平方尺(其附属面积约为621平方尺)及约为4,015平方尺(其附属面积约为704 平方尺),合计约为7,348平方尺(合计附属面积约为1,325平方尺)。地盘的总注册地盘面积约为2,182平方尺。
公司计划寻求收购剩余单位以拥有整幢95号楼宇作重建之用。倘若公司成功收购整幢95号楼宇,公司计划拆卸93号楼宇及95号楼宇并将地盘重新发展为商业和/或住宅综合发展项目,从而以最大限度地发展地盘。
