绿城中国(03900.HK)收购蓝城文化旅游及蓝城海蓝若干股权及债权 促进风荷九里及春风如意项目发展
格隆汇12月30日丨绿城中国(03900.HK)公告,于本公告日期,公司的全资附属绿城小镇与蓝城嘉蓝、梅山嘉蓝及蓝城文化旅游订立蓝城文化旅游协议,据此:(i)绿城小镇同意购买及蓝城嘉蓝同意出售蓝城文化旅游目标权益(蓝城文化旅游的20%股权及蓝城嘉蓝(作为债权人)应收蓝城文化旅游(作为债务人)的人民币6282.5万元债权);及(ii)蓝城文化旅游股东同意于蓝城文化旅游协议载列彼等与蓝城文化旅游有关的关系。
绿城小镇就收购蓝城文化旅游目标权益应向蓝城嘉蓝支付的代价包括:(a)蓝城文化旅游目标股权对价1330.96万元;及(b)蓝城文化旅游目标债权对价人民币6282.5万元。
于本公告日期,绿城小镇亦与蓝城嘉仁、梅山嘉蓝、富逸睿匙、嘉兴福达、蓝城海蓝及蓝城文化康养订立蓝城海蓝协议,据此:(i)绿城小镇同意购买及蓝城嘉仁同意出售蓝城海蓝目标权益(蓝城海蓝的20%股权及蓝城嘉仁应收蓝城海蓝的约人民币7886.49万元债权);及(ii)蓝城海蓝股东同意于蓝城海蓝协议载列彼等与蓝城海蓝及蓝城文化康养有关的关系。
绿城小镇就收购蓝城海蓝目标权益应向蓝城嘉仁支付的代价包括:(a)蓝城海蓝目标股权对价为零;及(b)蓝城海蓝目标债权对价为人民币7886.49万元。
截至本公告日期,风荷九里项目已获得土地面积为101,476平方米的住宅及商业用地,而春风如意项目已获得土地面积为69,993平方米作住宅用地及102,387平方米作住宅及商业用地。该等协议的订约方表示收购蓝城文化旅游目标权益或蓝城海蓝目标权益(视情况而定)将分别有助于该等项目公司进一步发展该等项目。
因此,董事会相信,蓝城文化旅游协议及蓝城海蓝协议各订约方间的合作将可通过订约方发挥各自优势及协同效益为该等项目带来裨益,并将拓宽本公司的资产及盈利基础,进一步巩固本公司作为中国顶尖物业开发商的地位。虽然根据该等协议,未来出资需求未必会由蓝城文化旅游及蓝城海蓝的全体股东按股权比例提供,因该等项目的管理层持股平台梅山嘉蓝对该等项目经营发展的重大作用,而并无进一步出资责任(其应付的蓝城文化旅游及蓝城海蓝现有未偿付注册资本除外),惟董事会认为,于该等项目需要额外出资时,进一步出资及╱或财务资助将为该等项目提供日常营运及管理所需的资金,因此将符合本集团作为该等项目股东的整体利益。
