天虹股份(002419.SZ)租賃深圳龍華區中航天逸花園項目 用於開設購物中心
格隆匯12月9日丨天虹股份(002419.SZ)公佈，公司第五屆董事會第五次會議審議通過了《關於天虹商場股份有限公司租賃深圳市龍華區中航天逸花園項目開設購物中心暨關聯交易的議案》，同意公司與深圳市中航長泰投資發展有限公司(“中航長泰”)簽署《房產租賃合同》，租賃深圳市龍華區中航天逸花園項目，用於開設購物中心。項目面積約7萬平方米，租金總金額約10.35億元(按10年計算)。此外，公司對於該項目裝修改造及設備購置等投資約1186萬元。
該項目目前處於購物中心營業狀態，將自2020年1月1日起由公司按現狀承租經營，公司將向中航長泰購置與項目經營相關的辦公設備等固定資產約140萬元，具體以房屋交付日時資產的賬面淨值為準。
為保證項目的正常經營，中航長泰將其之前與商户簽訂的租賃合同(“原商户合同”)的權利義務全部轉讓給公司；自2020年1月1日起，尚未與公司、中航長泰簽署原商户合同權利義務轉讓的三方協議、且未以其他形式同意原商户合同中中航長泰權利義務轉讓給公司的商户(“特殊商户”)，中航長泰應將原商户合同項下的所有收益（包括但不限於租金、商業服務費、推廣費等一切款項）歸屬於公司所有，中航長泰應按約定將該款項支付給公司，公司通過中航長泰向特殊商户實施購物中心的統一管理。
公司始終堅持“有效益擴張”和“可持續發展”的發展原則。深圳是公司全國門店數量最多及重點發展的優勢區域，但公司在深圳市缺少大型項目帶動發展。該項目位於深圳市龍華區新城商圈，靠近該區規劃中的南部商務核心位置，有一定的區位優勢，目前經營狀況、市場口碑均為良好。租賃該項目有利於公司強化深圳市場地位，進一步提升公司在深圳地區的市場份額和影響力，符合公司根本利益，也對公司具有重要戰略意義。
公司購置與項目經營相關的辦公設備等固定資產，有利於保證項目的正常經營，符合公司日常經營管理需要。
