瑞港集團(00357.HK)擬配售2億股認購股份 籌資9.38億港元
格隆匯9月30日丨瑞港集團(00357.HK)發佈公告，2019年9月29日，公司與投資者訂立認購協議，據此，公司同意向投資者按每股4.69港元配發及發行2億股認購股份。
認購股份分別相當於已發行H股總數及已發行股份總數約88.14%及42.26%，以及分別約相當於擴大已發行H股股份總數及已發行股份總數約46.85%及22.84%。認購價較9月27日收市價5.12港元折讓約8.4%。
投資者為於開曼羣島註冊成立的公司，主要從事投資控股。該公司由Aero Infrastructure Fund L.P.全資擁有，其普通合夥人為HOPU Investments的關聯公司Aero Infrastructure Fund GP Limited。Aero Infrastructure Fund L.P.的有限合夥人包括HOPU Investments、GIC及其他國際知名藍籌機構投資者各自的聯屬人士，彼等於私募股權及基礎設施領域進行投資方面擁有豐富的經驗及資源。
HOPU Investments為亞洲領先的另類資產管理公司，在北京、香港、新加坡及深圳設有主要辦事處。HOPU Investments憑藉其獨特的網絡、運營增值、深入的基礎分析及執行專業知識，致力於發現、創造並執行專有投資機會。HOPU Investments的主要行業重點包括基礎設施、消費者、科技、醫療保健、金融服務、物流及房地產。
認購事項將帶來一名聲譽卓着的長期戰略投資者，HOPUI nvestments擁有豐富的資源及專業知識，可為公司及美蘭機場的發展增加巨大價值。
公告表示，美蘭機場是位於“一帶一路”政策下的戰略城市海口市的唯一機場，其地理位置有利於把握“一帶一路”政策帶來的機遇。董事認為，建議認購事項為公司籌集資金同時擴大公司資本基礎、增強公司金融風險抵禦能力、提高公司償付能力及擴大公司財政基礎的契機。因此，公司擬透過向投資者發行認購股份的方式募集較低成本的資金，以補充其營運資金，幫助集團進行擴建項目及為公司現有直接全資附屬公司的營運需求提供資金(包括償還債務)。
認購事項所得款項合計將為約9.38億港元，其中所得款項淨額約為9.33億港元。其中，所得款項淨額約29%將用於擴建、升級、改善及維修美蘭機場現有航站樓及其他區域；約33%將用於引入創新技術並將美蘭機場升級為“智能化機場”；約29%將用於收購員工宿舍以及其他相關設施；及約9%將用於補充公司的營運資本。
