雅居乐集团(03383.HK)及雅生活服务(03319.HK)公布: 收购中民物业60%股权 雅生活股份上午复牌
格隆汇9月26日丨雅居乐集团(03383.HK)及雅生活服务(03319.HK)公布,于2019年9月25日,买方,雅生活附属津雅潮企业管理谘询有限公司及卖方东丰信盈隆股权投资合伙企业(有限合伙)订立了中民物业协议,据此,买方收购而卖方出售待售股权(即(i)以固定对价收购中民物业60%股权;及(ii)以可变对价收购新中民物业60%股权,惟总额不超过人民币5亿元)。
根据中民物业协议,卖方不可撤回地向买方保证及担保2019年经审计净利润将不低于人民币2.08亿元。
据悉,中民物业协议订立后,根据中民物业协议的条款,中民物业将进行重组。完成后,新实体将成为中民物业的直接全资附属公司。
公告称,通过收购事项,公司可与雅生活集团现有业态、区域有效互补,巩固既有优势地位,产生协同效应。此外,收购事项可有力提升雅生活集团的管理规模、盈利能力及品牌力,从而打造雅生活集团成为全国性、全业态、优品牌的物业管理服务龙头企业。
公告显示,中民物业为一家于中国注册成立的有限责任公司,主要从事物业管理服务。
根据中民物业协议及作为重组的一部分,新中民物业将于中国注册成立为有限责任公司,业务范围为物业管理。新中民物业将由卖方拥有60%及余下股东拥有40%权益。科瑞物业为一家于中国注册成立的有限责任公司,主要从事物业管理。紧接重组前,科瑞物业由中民物业拥有51%权益。
此外,雅生活已向联交所申请雅生活股份自2019年9月26日上午9时正起恢复买卖。
