中国罕王(03788.HK)拟5600万至6500万澳元要约收购澳洲新金矿项目
格隆汇9月23日丨中国罕王(03788.HK)公布，于2019年9月23日，本公司附属公司Hanking Australia InvestmentPty Ltd（罕王澳洲投资）已提出一份非约束性指示性现金要约，向一家于澳大利亚上市的矿业公司Focus Minerals Limited收购Coolgardie金矿项目的100%权益。非约束性指示性现金要约的总对价为5,600万至6,500万澳元，其中首付款为1,200万澳元，余额将在收购完成后的3.5年内分期支付。
据悉，FML的Coolgardie金矿项目（目标项目）与本公司位于Coolgardie的McPhersons金矿项目相邻，距离西澳大利亚州卡尔古利市和机场约30公里。世界闻名的卡尔古利－Coolgardie地区是澳大利亚最早也是最重要的黄金产区之一。
目标项目包括约235平方公里的采矿和探矿权、一座年处理能力为120万吨矿石的黄金选矿厂。目标项目一直进行黄金生产，直到2013年8月进入停产维护状态。目标项目的矿权区有符合澳大拉西亚联合矿石储量委员会资源标准资源量约210万盎司黄金，包括可露天和地下开采的金矿床。
罕王Coolgardie项目的开采已获所有许可，目标项目的选矿厂经过整修复产后，能够为两个项目提供所需的矿石处理产能。成功收购目标项目预期将会实现两个相邻项目之间的协同效应以及规模经济，并延长矿山寿命，从而极大地使本公司、FML及其他利益攸关方受益。
公司称，鉴于本公司已于2018年收购作为Primary Gold Limited（澳大利亚证券交易所交易代码：PGO）中一部分的罕王Coolgardie项目以及于2013年收购南十字金矿项目时，均获得了澳大利亚外国投资审查委员会的审批，因此，预计获得澳大利亚外国投资审查委员会的审批仅是一项程序上事项。
