恒健控股拟购不低于34.9%股权 易事特将迎广东国资委入主
格隆汇9月2日丨易事特(300376.SZ)宣布，公司于2019年9月1日接到公司控股股东扬州东方集团有限公司(“东方集团”)、实际控制人何思模的通知，东方集团、何思模与广东恒健投资控股有限公司(“恒健控股”)签署了《股权收购框架协议》，拟先将东方集团持有公司29.9%的股权协议转让给恒健控股，此次股权转让过户完成后，恒健控股将采取部分要约方式再取得公司不低于5%股权，全部收购完成后，恒健控股合计持有公司股权比例不低于34.9%，成为公司的控股股东。
恒健控股是经广东省政府批准设立，由广东省国资委履行出资人职责的国有独资投资控股公司。恒健控股是资金密集型、技术密集型、智力密集型企业，以投资与资本运营、资产管理、金融业为主业，代表广东省政府、省国资委持有中国广核集团有限公司、中国广核电力股份有限公司、宝钢集团广东韶关钢铁有限公司、宝钢湛江钢铁有限公司、中航通用飞机有限责任公司、中国南方电网有限责任公司等央企股权，拥有全资及控股企业20多家，实际控制或参股多家上市公司，覆盖基金投资、基金管理、创业投资、资本市场投资、电力、轨道交通、钢铁、航空产业、高端医疗设备、招标咨询等行业。
随着公司战略调整及业务转型持续开展，对业务结构进一步调整优化，公司引入国有资本股东后，将持续保持公司现有管理层稳定，强化法人治理结构，结合其强大的资源整合优势及业务布局，促进公司持续着力于数据中心、智慧电源、充电桩(站)、微网及储能、5G 供电、轨道交通智能供电及光储充一体化智慧能源系统等全方位解决方案的市场推广及应用。
此次交易完成后，东方集团取得交易对价将主要用于归还股权质押融资款项，以降低股权质押比例，解除东方集团股权质押风险。同时，纾解上市公司因大股东股权质押比例较高带来的融资压力，提升上市公司风险防控能力，有利于上市公司持续健康发展。
