中国软件(600536.SH)为促进纠纷解决拟与芜湖市弋江区人民政府签署战略合作协议书
格隆汇6月18日丨中国软件(600536.SH)公布，公司与芜湖市政府于2010年7月签署了《战略合作框架协议》和《落实
<战略合作框架协议>
备忘录》，2010年10月和2011年8月中软服务与芜湖市弋江区政府分别签署了《中国软件芜湖服务外包园及配套住宅建设补充协议》和《中国软件芜湖服务外包园项目补充协议》。根据这些协议，公司投资成立中软服务并规划建设和运营“中国软件芜湖服务外包园”项目，地方政府则给予园区用地和生活配套用地土地以及相应产业扶持资金等方面的支持。协议生效后，双方合作取得部分进展，如中软服务完成外包园一期投资建设，弋江区政府将产业扶持资金共计12762万元返给中软服务等，但在二期土地开发等方面发生分歧，合作未能按计划继续推进。2017年2月弋江区政府向芜湖中院提起诉讼，要求中软服务因未完成外包园项目实施目标和建设工期而返还产业扶持资金7210.73万元。
为进一步理顺公司与当地政府的合作关系，继续深化合作内容，化解合作中遇到的困难和分歧，促进纠纷解决，双方友好协商，拟签署此《战略合作协议书》。该协议为双方之前签署各项协议的修改调整，原协议已经完成部分按原协议，未完成部分不再执行，各方不再依据原协议以诉讼或其他方式追究对方责任，按本协议执行。
协议双方，甲方为芜湖市弋江区人民政府，乙方为中软信息服务有限公司。甲方积极支持乙方推动将中国软件芜湖服务外包园定位为“中国软件第三大软件园区基地”，承担总部研发基地、呼叫中心、实训基地等项目。
乙方未来三年(指2019年1月1日-2021年12月31日)在外包园的运营目标：(1)乙方及相关公司(相关公司指公司注册地和经营地在芜湖高新区，由乙方所在集团公司及其下属公司投资的企业，下同)实现收入22亿元(以符合上市公司管理规定的第三方审计为准)。具体为：2019年1月1日-12月31日实现5亿元，2020年1月1日-12月31日实现7亿元，2021年1月1日-12月31日实现10亿元。
(2)乙方及相关公司和产业上下游企业从业人员达到2000人(以在芜湖市发放工资的人数为准)，其中，乙方及相关公司从业人员不低于600人，产业上下游企业从业人员力争达到1400人。具体为：2019年12月31日前乙方及相关公司从业人员累计达到300人(在芜湖市缴纳社保人员不低于180人)，2020年12月31日前乙方及相关公司从业人员累计达到400人(在芜湖市缴纳社保人员不低于240人)，2021年12月31日前乙方及相关公司从业人员累计达到600人(在芜湖市缴纳社保人员不低于360人)。
(3)乙方及相关公司在芜湖高新区实现税收4500万元(以财政部门统计的入库数字为准)，具体为：2019年1月1日-12月31日实现1000万元，2020年1月1日-12月31日实现1500万元，2021年1月1日-12月31日实现2000万元。
此战略合作协议的签署，有利于理顺公司与当地政府的合作关系，继续深化合作内容，化解合作中遇到的困难和分歧，促进纠纷解决，符合上市公司及全体股东的利益。
