傑地集團(08313.HK)：已進一步指示律師向信託律師發出正式追索函
格隆匯 7 月 26日丨傑地集團(08313.HK)公佈，公司於2019年9月20日的自願公告以及2020年7月23日的內幕消息及業務發展最新情況公告，內容有關根據交易就澳大利亞酒店組合交易設立一支新基金即ZACD澳大利亞酒店基金。
根據收購文件，額外按金需由合營特殊目的實體於2020年6月24日(隨後進一步延長到2020年7月21日)之前支付/確保支付。2020年7月1日，公司代表ZACD澳大利亞酒店基金於2020年7月1日向作為我們交易完成後17間酒店物業對應的17個子信託設立受託人(“酒店基金受託人”)的基金託管代理的律師事務所(“信託律師”)，發出正式支取指令，從ZACD澳大利亞酒店基金先前存入以作額外按金的3750萬澳元(“ZACD按金”)中支取資金。信託律師沒有按照我們的指令退還ZACD按金，因此公司已於2020年7月6日正式聘請澳大利亞律師事務所Messrs Thomson Geer(“律師”)與信託律師跟進該事項。
ZACD按金是由ZACD澳大利亞酒店基金於2020年3月(即交易原定完成時間)存入信託律師的信託賬户，隨後由合營特殊目的實體用作資金證明的用途，以便於iProsperity Group的主要投資者撤出後與賣方商談延長完成日期。與賣方的談判取得成功，雙方於2020年6月訂立補充收購文件。
該信託律師是一間位於澳大利亞悉尼的知名律師事務所。根據信託律師於2020年3月發出並由公司代表ZACD澳大利亞酒店基金接受的託管信，除其他條件外，ZACD按金將僅用作ZACD澳大利亞酒店基金於交易完成後應向酒店基金受託人支付的有關酒店單位的認購款，並必須得到公司有關如此行事的具體書面同意。
在指定了律師之後，律師與信託律師之間直接進行了溝通。於2020年7月16日，公司獲悉律師從信託律師處獲得的有關此事的進一步詳情。在仔細審閲所提供的詳情並與律師討論之後，公司相信，信託律師未經公司同意即向酒店基金受託人解付ZACD按金，並且信託律師此行為無遵從法律職業通常要求的適當確認、保障及程序，因此構成了託管律師對託管信的違反及疏忽。
公司已於2020年7月24日進一步指示律師向信託律師發出正式追索函，要求信託律師於2020年7月29日下午5時前償還ZACD按金，否則公司將提起所有必要的法律訴訟，以追回該金額以及公司可能招致的所有其他損失。公司會根據創業板上市規則的規定在適當時候作出進一步公告。
