盛和資源(600392.SH)擬認購澳大利亞稀土商VML公司股權
格隆匯10月23日丨盛和資源(600392.SH)公佈，近日，公司通過全資子公司樂山盛和稀土有限公司100%持股的控股公司盛和新加坡與Vital Metal Limited("VML公司")簽署《SUBSCRIPTION AGREEMENT》(股份認購協議，以下簡稱"《股份認購協議》")和《BINDING TERM SHEET》(有約束力的條款清單，以下簡稱"《條款清單》")等法律文件。
《股份認購協議》約定盛和新加坡分兩期認購VML公司增發的股份。第一期認購VML公司增發的普通股，佔增發後VML公司全部已發行股份的9.99%，認購價格為0.01澳元/股，總認購金額約為590萬澳元，如果VML公司在本次認購的同時進行額外的股權融資，認購金額將相應調整，以滿足盛和新加坡在增發後持有VML公司全部已發行股份9.99%的股權；第二期在盛和新加坡行使認購選擇權且VML公司股東會批准等先決條件滿足的前提下，認購VML公司增發的普通股，佔增發後VML公司全部已發行股份8.2%的股權，認購價格為0.015澳元/股，總認購金額約為890萬澳元，盛和新加坡可在第一期認購交割後12個月內隨時行使認購第二期增發股份的選擇權，第二期股份認購完成後，盛和新加坡將持有VML公司全部已發行股份18.2%的股權。
《條款清單》約定在先決條件滿足的前提下，盛和新加坡以最多150萬美元的現金對價收購Kisaki Mining Ltd(以下簡稱"Kisaki"，採礦許可證的申請人)的50%股份，從而間接獲得Wigu Hill項目權益的50%(未計算坦桑尼亞政府16%權益攤薄)，並在出資完成Wigu Hill項目預可研(第二階段)和確定性可研(第三階段)的情況下，有權選擇增持Wigu Hill項目權益到60%(第二階段)、75%(第三階段)(未計算坦桑尼亞政府16%權益攤薄)。
據悉，VML公司是一家澳大利亞上市公司，總部位於澳大利亞新南威爾士州，在澳大利亞證券交易所上市(代碼：VML)。主要開發位於加拿大的Nechalacho稀土項目和坦桑尼亞的Wigu Hill稀土項目。
公吿稱，盛和資源堅持稀土業務為核心，堅持國內國外兩種資源、兩個市場，以維護全球稀土產業鏈的穩定供應為經營宗旨。本項目如果能夠順利實施，將有利於進一步夯實公司發展基礎，優化公司全球業務佈局。
