DEYUN HOLDING(01440.HK)獲蔡榮星溢價約5.33%提收購要約 明日復牌
格隆匯6月27日丨DEYUN HOLDING(01440.HK)發佈公告，於2022年6月17日，賣方Deyong Investment Co., Ltd、擔保人及要約人Glorious Way Investments Limited訂立買賣協議。據此，賣方同意出售及要約人同意收購銷售股份（即7.245億股股份，相當於公司全部已發行股本約57.50% ）。銷售股份代價爲1.75億港元（相當於每股銷售股份0.242港元）。
完成於完成日期（即2022年6月17日）簽署買賣協議後即時作實。於完成後，賣方繼續持有餘下股份（即1.26億股股份，相當於公司全部已發行股本的10.00%）。
緊接完成後及於本聯合公告日期，要約人及其一致行動人士合共擁有8.85億股股份權益，相當於公司全部已發行股本約70.23%。因此，於完成後，要約人須根據收購守則規則26.1就全部已發行股份作出要約。要約價每股要約股份0.79港元，較股份於最後交易日在聯交所所報收市價每股0.75港元溢價約5.33%。
要約人爲於英屬處女羣島註冊成立的有限公司，主要從事投資控股。於本聯合公告日期，蔡榮星先生爲要約人的唯一董事，併爲要約人全部已發行股本的擁有人。蔡先生，60歲，爲啓星投資有限公司的董事，該公司是一家向全球客戶供應皮革、塑膠、紡織鞋履、涼鞋等的鞋履分銷企業。蔡先生亦爲常州啓發鞋業有限公司（該公司從事鞋履的製造及分銷）及常州啓辰投資有限公司（該公司從事房地產銷售及物業管理）的執行董事，亦爲莆田啓明鞋業有限公司（該公司從事鞋履的製造及分銷）的監事。
蔡先生亦爲中國人民政治協商會議湖南省委員會常委香港區召集人、港區省級政協委員聯誼會副會長、東華三院蔡榮星小學校監、香港義工聯盟常務副主席及絲路規劃研究中心專家。蔡先生亦曾任政協福建省莆田市第五屆委員會常務委員、東華三院己亥年董事局主席，2015年至2019年任東華三院董事局副主席。蔡先生亦獲授銅紫荊星章，以表彰他在香港長久以來的重大貢獻及傑出服務。
要約人擬於完成及要約截止後基本按現況繼續經營集團的現有主要業務，且將維持公司的上市地位。要約人無意對集團的業務進行重大變動或出售或重新調配集團固定資產，但集團日常業務過程中所涉及者除外。
此外，公司已向聯交所申請股份自2022年6月28日上午九時正起於聯交所恢復買賣。
