Naspers拟让股东兑换Prosus新股 Prosus流通股占比将升至约六成
腾讯(00700.HK)主要股东,南非互联网企业Naspers及其子公司Prosus NV宣布,计划推出自愿性安排,让Naspers股东可兑换Prosus新发行的普通股,预计安排将使Prosus自由流通股比例升至59.7%。公司声称可为Naspers及Prosus股东创造价值。Prosus将收购Naspers所发行最多45.4%普通股。连同现有持股,Prosus在Naspers的经济利益占比将不足49.5%。
若安排得以落实,Naspers在Prosus的持股占比将由73.2%降至57.2%,交易料於今年第三季落实。
Naspers在2019年把国际资产注入Prosus,并把Prosus分拆至荷兰阿姆斯特丹上市。Naspers的腾讯股份均由Prosus所持有。
