滙景控股(09968.HK)拟收购惠州市帝景华廷置业投资51%股权
格隆汇 3 月 31日丨滙景控股(09968.HK)发布公告,2021年3月31日,公司间接全资附属中国控股公司(即东莞市正行置业有限公司)、和幸科技工业(惠州)有限公司作为卖方与目标公司(即惠州市帝景华廷置业投资有限公司)订立协议,据此,中国控股公司同意收购而卖方同意出售目标公司的51%股权,代价为人民币8200万元。
目标公司于2016年11月28日成立,并为位于惠州市的物业开发商,主要从事房地产开发及销售业务。于本公告日期及于协议项下拟进行的交易完成前,其为卖方的直接全资附属公司。目标公司持有位于惠州市的目标项目的土地使用权,该项目的总占地面积约为5.612万平方米,及总建筑面积约为24万平方米。目标公司持有惠州世纪华廷的90%股权,于本公告日期,惠州世纪华廷并无开展任何业务活动,亦无任何其他重大资产。
目标项目位于惠州市陈江街道陈江大道19号,包括住宅单位、零售铺、酒店、写字楼及停车场。于本公告日期,目标项目部分已竣工,而余下建筑工程正在建设中,且物业的预售工作亦正在进行中。目标项目房地产项目余下部分的开发预计将于2021年内完成。
公告表示,鉴于位于惠州市的目标项目隶属粤港澳大湾区且发展势头迅猛,董事认为目标公司的收购事项将提升大湾区的地位及市场份额,此与集团的发展策略一致;收购事项将增加集团的土地储备,令集团可于惠州物色其他潜在机遇;收购事项将令集团将目标公司的财务业绩于集团的财务报表综合入账,并预期倘目标项目于未来竣工且交付将带来正面回报及增加集团的溢利。
