第一服务控股(02107.HK)拟收购青岛洛航企业管理100%股权
格隆汇 3 月 30日丨第一服务控股(02107.HK)公告，于2021年3月30日，公司间接全资附属公司第一物业北京(作为买方)、众卖方、威海上诚、王志兰、目标公司(青岛洛航企业管理有限公司)、上诚物业、青岛上诚及聊城上诚订立股权转让协议，据此，买方已同意向卖方收购目标公司的100%股权，总代价为人民币1.36亿元，即目标股权转让价人民币1.13亿元与目标公司于2020年12月31日的净资产的转让价格人民币2240万元总和。
于完成后，公司将间接持有目标公司100%股权。目标公司将成为公司间接全资附属公司，而目标公司的财务业绩将并入集团财务业绩。
目标公司为于2021年3月8日根据中国法律成立的有限责任公司。目标公司为一家投资控股公司。于公告日期，目标公司由卖方一持有60.0%权益及由卖方二持有40.0%权益。于完成后，目标公司将由买方全资拥有。目标公司将成为公司间接全资附属公司，而目标公司及其附属公司的财务业绩将并入集团财务业绩。
上诚物业为中国领先及知名物业管理服务提供商，具体而言，其为山东威海非住宅物业管理领军企业，在该地区具有卓越的品牌声誉。其主要于威海、烟台、青岛及山东济南为市政河流、公园、学校、医院、公司办公室、商业银行、零售商店及工业园区等提供物业管理服务。于2020年12月31日，合计总在管建筑面积约为20,000,000平方米，在管项目约100个。
董事相信，上诚物业所拥有卓越的品牌声誉、于物业管理细分领域的丰富经验及资源，将与集团于中国的品牌创造强大的协同效应，从而引领集团于山东省的地区扩张。收购事项将有利于集团战略性扩展非住宅物业管理服务。由于上诚物业业务主要复盖山东省沿海城市，将对集团近期收购大连亚航物业管理有限公司产生强大协同效应，增强集团环渤海业务发展。
