三川智慧(300066.SZ)拟5700万元收购三川科技100%股权
格隆汇3月25日丨三川智慧(300066.SZ)公布，公司第六届董事会第十会议审议通过了《关于收购江西三川科技有限公司100%股权暨关联交易的议案》，同意公司以现金支付的方式，以5700万元人民币的价格收购鹰潭三川水泵有限公司(“三川水泵”)、胡风云、刘姚文、李胜祖、张纯洁、彭波、肖小玲、曾福金、汪冲、祝亮平、童建斌合计持有的三川科技100%的股权，此次交易完成后，三川科技将成为公司的全资子公司。公司与三川科技的股东三川水泵、胡风云、刘姚文、李胜祖、张纯洁、彭波、肖小玲、曾福金、汪冲、祝亮平、童建斌于2021年3月25日签署了《股权转让协议》。
目标公司是主要从事二次供水设备科研、生产、销售、服务的企业，主要产品包括SCWG系列无负压管网叠压稳流给水设备、SCBP系列变频气压给水设备以及智慧泵房等。三川科技在国内拥有多个销售分支机构和售后服务体系，现有客户包括江西、四川、贵州、河南等地的房地产公司、水务公司等供用水单位。
三川智慧紧紧围绕着水做文章，以科学用水、健康饮水为使命，以涉水的相关产业链为发展目标，致力于成为世界领先的水计量功能服务商、智慧水务整体解决方案提供商和水务大数据服务型企业。此次交易，是公司产品线的延伸和扩展，有利于进一步优化上市公司业务体系、完善产业布局，发挥双方业务协同优势，有利于公司实施垂直整合、构建业务链整体竞争优势，有助于丰富公司的产品系列。
此次交易完成后，三川科技将成为公司的全资子公司，目前目标公司处于业务快速发展时期，交易对方承诺三川科技2021年、2022年和2023年经审计后净利润合计不低于人民币2400万元人民币(对应2021年、2022年和2023年分别为660万元、790万元和950万元)，此次交易将进一步增强公司的盈利能力。同时，公司的综合竞争能力、市场拓展能力、抗风险能力和持续发展能力也将进一步增强，有利于保护公司及股东利益。
