佳兆业集团(01638.HK)拟130亿元收购北京市朝阳区物业

格隆汇3月25日丨佳兆业集团(01638.HK)发布公告,于2021年3月25日,卖方、公司及担保人订立买卖协议,内容有关收购事项。根据买卖协议的条款及条件,(a)卖方A高捷投资有限公司有条件同意出售,而公司有条件同意收购目标公司A泓达投资有限公司的100%股权及销售贷款A;卖方B升晴投资有限公司有条件同意出售,而公司有条件同意收购目标公司B Logic Capital Limited的100%股权及销售贷款B;及卖方C北京诚义豪泰投资管理有限公司有条件同意出售,而公司有条件同意收购销售贷款C。收购事项的总代价为人民币130亿元。

目标公司A及目标公司B主要从事投资控股。于本公告日期及于完成时,目标公司A及目标公司B透过世纪协润合共间接持有目标公司C北京耀辉置业有限公司的96.8%股权。世纪协润为一间于香港注册成立的有限公司,主要从事投资控股。卖方C拥有目标公司C的余下3.2%股权的权益。

目标公司C为于中国成立的有限公司,主要从事开发、持有、销售及出租物业业务。于本公告日期,目标公司C正于中国北京运作一项房地产项目(耀辉国际城项目)。该项目已兴建的该等物业位于中国北京市朝阳区西大望路与建国路交汇东南角。耀辉国际城项目涵盖约26,812平方米的建设用地面积,该等物业涵盖约201,601平方米的总建筑面积。该等物业包括商务公寓、住宅、零售、酒店、公共设施及停车位等。独立估值师按收益资本化及直接比较法对该等物业所进行的初步估值于2020年12月31日约为人民币186亿元.

公司表示,集团一直密切留意粤港澳大湾区、长江三角洲地区、京津冀地区、华中地区及华西地区的发展机遇。集团一直于上海、北京等一线城市以及主要二线城市及其周边区域探索业务发展机遇。该等物业位于北京中央商务区,地理位置优越,拥有周边顶级设施及豪华景观花园。此外,公司认为,收购事项对集团在北京的扩充具有重大战略意义,与其近期在上海、广州及深圳等一线城市的发展一致,符合其整体业务策略。

随着该等可售资源及北京优质投资物业的加入,促进了集团的深圳-北京双总部战略,故收购事项亦具有重大战略意义。位于北京核心中央商务区区域的黄金地段及优质物业将进一步提升集团的品牌形象及声誉。因此,经考虑近期中国物业市场及该等物业位置后,公司认为,收购事项对集团而言具备投资潜力,可为股东带来庞大回报,巩固集团于中国一线城市的市场地位。
