比速科技(01372.HK)拟发行4000万股认购股份 净筹1.92亿港元用于开发碳中和业务
格隆汇 3 月 8日丨比速科技(01372.HK)发布公告，2021年3月7日，公司(作为发行人)与各认购人订立认购协议，内容有关按认购价每股4.80港元认购合共4000万股认购股份。认购股份合共相当于公司现有已发行股本20.00%及经股份扩大后已发行股本约16.67%。
根据披露，认购人包括Mao Yuan Capital Limited(懋源资本有限公司)及张亚循先生。Mao Yuan Capital Limited(懋源资本有限公司)为一家于英属处女群岛注册成立的有限责任公司，专注于香港资本市场的战略性及财务性投资。张亚循先生为具有丰富经验的专业投资人和实业家。其自2006年至今出任安图生物(603658.SH)董事兼副董事长。安图生物主要从事体外诊断试剂及仪器的研发、生产和销售，其市值于本公告日期已超过人民币500亿元。根据公开披露，张先生通过Z&F International Trading Limited间接持有安图生物的约13%股权。其亦是河南争锋农牧科技发展有限公司董事长。
诚如过往公布，公司将规划开始投资全球碳中和业务。业务扩展需要公司扩充资金规模，以改善集团的盈利能力和发展能力。在研究了多种集资行动的可行性后，公司认为除少量的专业费用外，认购事项不会产生利息费用或其他支出；定向增发可确保公司在短期获得一定数量的资金；及以现金为代价发行新股可大幅改善公司财务状况，例如提高流动率、降低资产负债率及改善整体抗风险能力。
认购事项所得款项净额将约为1.92亿港元，其中60,00万港元拟用作集团的一般营运资金及╱或偿还集团债务，而余下1.32亿港元拟用于开发碳中和业务及╱或探索其他潜在新业务。除已披露的碳中和业务外，集团尚未决定踏足其他新业务。公司作于出现新业务进展时根据上市规则作出适当公告。
