兖州煤业股份(01171.HK)：境外控股子公司进行债券融资重新将沃特岗综合入账
格隆汇 12 月 16日丨兖州煤业股份(01171.HK)宣布，Watagan Mining Company Pty Ltd 及其附属公司(统称"沃特岗")自 2020 年12月16日起重新被纳入公司附属公司兖州煤业澳大利亚有限公司("兖煤澳洲公司")合并报表范围，并由兖煤澳洲公司将其纳入交叉担保。
2019年1月4日，一名债券持有人通知沃特岗及兖矿集团行使对2亿美元沃特岗债券的认沽期权。兖矿集团於2019年4月1日购买了该债券，成为该债券的持有人。
2020年12月16日，兖矿集团、兖煤澳洲公司、沃特岗及债券持有人签署系列补充协议，约定剩余两名债券持有人在上述协议签署後行使认沽期权，由兖矿集团或其指定主体回购其持有的5.75亿美元沃特岗债券("可卖回债券")，进而成为沃特岗债券唯一持有人。根据相关补充协议的约定，债券持有人提名的沃特岗董事将自债券持有人行使认沽期权之日起辞职，同时兖煤澳洲公司重新取得委任1名或多名董事的权利。
因此，根据前述安排，兖矿集团作为沃特岗债券唯一持有人无法委任董事，兖煤澳洲获得对沃特岗董事会的控制权，取得对沃特岗主要运营及战略决策权。沃特岗自2020年12月16日起重新被纳入兖煤澳洲公司合并报表范围，并由兖煤澳洲公司将其纳入交叉担保。兖矿集团不会任何可卖回债券项下的担保、抵押或其他权利。2020年12月16日，兖矿集团与兖煤澳洲公司签署《再融资协议》("再融资协议")，约定兖矿集团向兖煤澳洲公司提供7.75亿美元贷款("新兖矿贷款")，期限为六年。新兖矿贷款利率水平前36个月为4.65%(即新兖矿贷款协议签订时同期全国银行间同业拆借中心公布的五年期贷款市场报价利率，以下简称"五年期LPR")、后36个月利率水平为届时同期五年期LPR。
根据再融资协议及相关协议的约定，兖煤澳洲公司在取得新兖矿贷款后将把该等资金提供给沃特岗专项用于沃特岗赎回兖矿集团或其指定主体持有的7.75亿美元沃特岗债券。
