香港医思医疗集团(02138.HK)拟收购医学实验室测试服务
格隆汇 12 月 15日丨香港医思医疗集团(02138.HK)发布公告，2020年12月14日，公司、公司间接全资附属Jade Master International Limited作为买方、Sunny Sea Global Limited作为卖方及卖方担保人(目标公司董事Leung Yang Shih Ti Marianne)订立买卖协议，据此，其中包括，卖方有条件同意出售第一批销售股份(相当于目标公司已发行股本的75%)，总代价为3.375亿港元，包括应付卖方的现金代价金额2.295亿港元；及将配发及发行予卖方的代价股份(值1.08亿港元)，惟须受买卖协议的条款及条件所规限。第一批完成后，目标公司将成为公司的附属公司，且目标公司的财务报表将于集团综合入账。
预期公司将于第一批完成时或之前与买方、卖方及各主要人员订立保留文件，原因是正式签立保留文件构成第一批先决条件之一。根据保留文件，(其中包括)第一批完成后，卖方及买方将转让保留股份予主要人员；主要人员将不可撤回地向买方授出买入选择权；及买方将不可撤回地向主要人员授出卖出选择权，惟须受保留文件所载条款及条件所规限。
此外，受买卖协议的条款及条件所限，买方将按最后一批代价购买而卖方将出售最后一批销售股份。完成后，假设各主要人员于最后一批完成后仍为目标公司雇员，且概无行使卖出选择权及买入选择权，则买方将持有目标公司全部已发行股本的97%，而余下3%将由主要人员持有。
订立买卖协议前，卖方为目标公司的唯一股东，主要从事目标公司的投资。于该公告日期，卖方分别由卖方担保人及Leung Fun Shing Vincent先生持有50%权益。目标公司是一间于香港注册成立的有限公司。目标集团主要在香港从事为医生及医疗机构提供医学实验室测试服务。收购事项将使集团得以进一步提升医疗及保健服务作为一站式综合医疗服务供应商。
