越秀地产(00123.HK)拟2.82亿元收购俩物业管理服务公司各67%股权 考虑分拆物业管理业务独立上市
格隆汇11月23日丨越秀地产(00123.HK)发布公告,于2020年11月23日,卖方广州地铁集团有限公司、买方广州越秀物业发展有限公司(公司全资附属公司)与目标公司订立股权转让协议,买方同意收购广州地铁环境工程的67.0%股权及广州地铁物业管理的67.0%间接实际股权(透过广州地铁环境工程于广州地铁物业管理的股权间接持有),两间公司均为物业管理服务公司,总代价为人民币2.82亿元。
于股权转让协议交割后,目标公司将成为公司的附属公司并将继续向广州地铁及其联系人提供物业管理及其他配套服务,而广州地铁为公司的主要股东,故为公司的关连人士。
同日,目标公司与广州地铁订立框架物业管理服务协议,以规管其项下拟进行的交易。交割至2020年12月31日及截至2021年及2022年12月31日止年度,框架物业管理服务协议项下拟进行交易的年度上限将分别为人民币2200万元、人民币2.64亿元及人民币3.17亿元。
此外,公司正考虑可能分拆集团的物业管理业务并于联交所主板独立上市。倘公司进行可能分拆,则根据上市规则第15项应用指引,其将构成公司的分拆,且根据上市规则第14.29条亦将为公司视作出售集团物业管理业务的权益。
公司表示,集团一直实施轨交+物业业务战略,并以合理的价格收购地铁沿线的优质土地储备。集团相信收购事项将会为其物业管理业务带来新机遇,从而进一步推动该业务战略。目前,集团的在管物业组合主要包括住宅物业和商业物业,如写字楼和购物中心,而收购事项将扩大在管物业类型,将现有的在管列车停放处及列车站注入集团的在管物业组合内。
凭藉目标公司于管理列车停放处及列车站的过往经验,预期于完成收购事项后,集团将能够在开始积累营运和管理列车停放处及列车站的经验时参与类型相近物业的物业管理项目招标程序,从而壮大集团业务组合以及进一步扩充物业管理业务的地域覆盖范围。此外,相信收购事项产生的协同效益对集团与广州地铁的业务合作有益,从而有利于可能分拆。
