共享集团(03344.HK)：高等法院已授出认可令
格隆汇 11 月 17日丨共享集团(03344.HK)公布，于2020年11月10日，高等法院已授出命令("认可令")，主要条款载列如下：
1.根据开曼群岛大法院日期为2020年5月28日的命令，公司的临时清盘及委任共同临时清盘人获高等法院认可；
2.共同临时清盘人拥有并可于香港特别行政区行使以下权力：
(1)与公司就有关公司董事及其顾问所建议的债务重组计划可行性的所有问题持续进行谘询及审查，包括为令重组建议得以顺利实施而所需采取之必要措施，从而令公司可持续经营；
(2)经谘询公司董事会，进行实施重组建议所需的一切事情；
(3)监控、监察及监督董事会及董事会控制下公司业务的持续经营，以待实施重组建议；
(4)于董事会同意的情况下采取一切行动并以公司名义及代表公司签立所有契据、收据及其他文件，并就此目的于必要时使用公司印章(如有)；
(5)为重组目的，确定及调查公司、其附属公司或公司拥有权益的相关合营企业、联营公司或其他实体之事务；
(6)向第三方要求并收取有关公司及其发起、组建、业务往来、账目、资产、负债或事务(包括导致其资不抵债的原因)的文件与资料；
(7)识别、保护、保障、接管并控制属于或名义上属于公司的所有资产及财产；
(8)识别、保护、保障、接管并控制属于公司的簿册、文件及记录(包括会计及法定记录)，并调查公司的资产及事务以及导致公司资不抵债的情况；
(9)挽留及聘用大律师、事务律师或律师及╱或共同临时清盘人认为合适的其他代理或专业人士，以就共同临时清盘人执行其权力及职责提供意见或协助；及
(10)在可能需要补充及实施上文第(1)至第(8)分段规定的权力的情况下，以共同临时清盘人名义或以公司名义代表公司并为公司利益，向高等法院提起法律诉讼程序或进行抗辩及作出所有该等申请，包括有关下列各项的任何申请：(a)预期共同临时清盘人会要求作出披露、交出文件及╱或对第三方进行审查的命令，以协助彼等调查公司的资产及事务以及导致其资不抵债的情况；及╱或(b)于任何已展开的法律程序的附属济助的申请，如冻结令、搜查及扣押令。
3.任何授权或需要由共同临时清盘人执行的事宜由所有或任何或更多受委聘人士执行。
4.倘共同临时清盘人因认可令确认彼等的委任而拟就高等法院的任何类别诉讼申请搁置或其他指示，有关申请须提交予夏利士法官或其指示的其他法官。共同临时清盘人须致函夏利士法官书记，寻求案件管理指示，以决定彼等拟根据认可令提出的任何申请；
5.共同临时清盘人可自由申请；及
6.申请费用以公司资产拨付，作为临时清盘开支。
