H&H国际控股(01112.HK)拟12.636亿港元收购美国全方位宠物营养品公司Solid Gold的100%权益
格隆汇 11 月 5日丨H&H国际控股(01112.HK)发布公告，2020年11月4日，Health and Happiness (H&H) US International Incorporated(即买方，公司的间接全资附属公司)与卖方及目标公司订立股本证券购买协议，据此，根据股本证券购买协议的条款及条件，买方同意收购而卖方同意出售目标股权，现金代价为1.63亿美元(相当于约12.636亿港元)(可能进行若干调整)。
根据股本证券购买协议所载条款及条件，买方同意向卖方购买及收购Solid Gold的100%直接及间接所有者权益，方式为收购目标股权A卖方的73.2%直接所有者权益、VMG Blocker的全部股权(持有Solid Gold的12.3%间接所有者权益)及卖方C Blocker的全部股权(持有Solid Gold的14.5%间接所有者权益)，现金代价为1.63亿美元(可能进行若干调整)。
Solid Gold于45年前创立，定位为美国首间全方位宠物营养品公司，以开拓创新精神为本，打造出强势品牌及猫狗优质营养品解决方案的高端产品系列。结合Solid Gold的特点、强劲需求增长走势(受宠物数量快速增长及宠物人性化趋势驱动)以及于新兴市场的低渗透率，令这项建议相当具说服力。
Solid Gold主要透过其直接全资附属公司在全球各地销售天然的全方位宠物营养品。尽管Solid Gold于美国市场进行大部分销售，但亦根据独家分销协议通过一名分销商向中国销售产品，截至2020年9月30日止十二个月占其总销售额近30%。该独家分销协议将于2023年3月28日届满(可予重续)。公司将就目标公司于所有地区市场(包括中国)的业务评估其策略，并可能于收购事项完成后适时更改Solid Gold于不同市场的分销渠道。董事认为，收购事项将使集团能在适当时机设立宠物营养及护理用品作为其第三大业务分部，令集团的未来增长前景向好。
