港华燃气(01083.HK)拟出资47亿元增资上海燃气 持股25%
格隆汇10月27日丨港华燃气(01083.HK)、香港中华煤气(00003.HK)联合公告，于2020年10月27日，港华燃气已订立：与申能集团及目标公司订立增资协议，据此，港华燃气同意以出资人民币47亿元的方式增加目标公司上海燃气有限公司的注册资本及资本公积。于交割后，港华燃气及申能集团将分别持有目标公司的25%及75%股权。
同日，港华燃气与目标公司订立深化合作协议，据此，港华燃气及目标公司同意共同努力促进港华燃气自增资协议生效日期起计1年内向目标公司发行普通股，以使拟议南向认购事项完成后，目标公司将拥有港华燃气经拟议南向认购事项扩大后已发行股本的25%。
目标集团的主要业务包括管道燃气的营运，管道燃气基础设施的建设、营运和管理，液化天然气接收站及储存，有关燃气的施工材料、用具和设施的销售，有关燃气的质量控制服务以及有关燃气的技术开发、谘询、服务和转让。目标集团员工约4,300人，拥有燃气管网约2.5万公里，燃气用户数约630万户。目标公司截至2019年12月31日止11个月的售气量为83.7亿立方米。
申能集团主要从事电力和燃气的生产和供应，燃气基础设施（包括液化天然气接收站及储存）的投资、建设和管理，以及金融机构之投资。其附属公司包括申能股份有限公司，其股份于上海证券交易所上市，股份代码为600642。
港华燃气表示，目标集团在上海拥有庞大的客户基础，而中华煤气集团及港华燃气集团可因此开发延伸业务的庞大市场及发展潜力。目标集团亦拥有一座液化天然气接收站，而中华煤气集团亦在江苏省金坛拥有地下盐穴储气库，目标集团及中华煤气集团在华东地区的城市燃气企业可因而受惠于这些接收站及储存资源及区域燃气管道连接，并带来稳定及低成本的天然气供应。中华煤气董事会及港华燃气董事会认为目标集团及中华煤气集团可以在工程、采购、客户服务和其他延伸增值业务领域加深合作，并分享管理知识、人才和营运专业知识的最佳实践。港华燃气和目标集团亦会利用双方的技术人才加强在上海发展智慧能源业务。
鉴于目标集团的现有项目及业务，中华煤气董事会及港华燃气董事会认为，增资可扩大港华燃气集团的客户基础，在目标集团当前营运的项目与港华燃气集团的项目之间产生区域协同效应，可潜在提升港华燃气集团的未来盈利及增加港华燃气集团于相关市场的市场份额。此外，增资亦与长江三角洲的国家发展战略相符。
