中国建筑国际(03311.HK)拟11.82亿元出售中海港务(莱州)60%股权
格隆汇 8 月 6日丨中国建筑国际(03311.HK)发布公告,2020年8月6日,买方(烟台港集团有限公司)与卖方(公司全资附属中国海外港口及中海港口物流)订立产权交易合同,据此,买方同意购买目标公司的60%股本,现金代价约为人民币11.82亿元。
目标公司中海港务(莱州)有限公司为一间于中国成立的有限公司及主要于莱州港从事港口业务。完成前,目标公司作为公司的合营企业入账。完成后,公司将不再持有目标公司的任何权益。
公告表示,在全国沿海各地以省为单位进行的港口资源整合的背景下,山东省港口集团有限公司于2019年成立及山东省内16个大中型港口整合其中。在此情况下,董事认为集团的单一港口资产的竞争优势减弱。出售事项可让集团退出港口业务,全力优化及强化其核心业务,并提高综合竞争力。基于上述原因,董事认为,产权交易合同的条款属公平合理,且符合公司及股东的整体利益。
