西部水泥(02233.HK)：拟7.29亿元收购跑马山水泥97.5%股权 欲将水泥业务从陕西省扩展至甘孜州
格隆汇8月2日丨西部水泥(02233.HK)宣布，于2020年7月31日，公司间接全资附属尧柏特种水泥与陕西凝鑫订立购股协议(I)，尧柏特种水泥拟向陕西凝鑫收购目标公司55%股权，代价为人民币4.2亿元。此外，双方亦协定由原有股东承担目标公司于完成日期(I)前产生的现有债务责任及负债，而目标公司于完成日期(I)后产生的债务责任及负债则由目标公司当时的股东按比例承担。
于同日，尧柏特种水泥与蓉联水泥及黄四九订立购股协议(II)，尧柏特种水泥拟分别向蓉联水泥及黄四九收购目标公司12%及30.5%股权，并承担目标公司若干债务，涉及的总代价为人民币3.094亿元。
目标公司乃指康定跑马山水泥有限责任公司，其正在兴建一条水泥生产线，预计完成后每年水泥产能为150万吨。于2019年12月31日，目标公司的经审核资产总值为人民币5.66亿元，而目标公司的总负债的账面值约为人民币5.82亿元。根据目标公司总资产及总负债的经审核账面值，目标公司于2019年12月31日的负债净值约为人民币1570.76万元。
该项目的主要目标市场为整个甘孜州地区，同时可充分利用其自身位于甘孜州西北方向的优势地理位置及其装备优势，向西北南三个方向扩散发展，覆盖川滇藏青四省交界地带。未来依托川藏綫，可覆盖川藏铁路沿綫，市场区域主要覆盖甘孜藏族自治州全境，阿坝藏族自治州南部区域和雅安西部和南部天全县、汉源县区域。
此外，在重点工程水泥需求方面，十三五期间，围绕域建设川西北区性和川滇藏青结合部交通枢纽。另外，甘孜州水力资源丰富，规划建设巴塘东南、九龙三垭、理塘查玛日东、稻城俄牙同、道孚尼措、德格温拖、新龙通宵等水利工程。同时还将建设理塘夺曲河水库、石渠尼呷镇、俄多马乡等3座供水水库以及理塘木拉提、九龙县城等引水工程。这些重点工程将大幅度带动水泥需求，增大未来的供需缺口。
公司表示，考虑到该项目于甘孜州西北方向的优势地理位置及其装备优势和未来建设川西北区增大的水泥供需缺口，该次投资将能为集团提供将其水泥业务从陕西省扩展至甘孜州的良机，并将有利于集团的长期增长及未来发展计划，亦有助集团有效地分散其地理投资风险。
